Realmente no encuentro como traducir este término (es para México) No creo que sea Miembro Incumplido, siento que Default es más fuerte que un incumplimiento. Pongo aqui la definición que le da el mismo acuerdo a este término y las situaciones del mismo.

"Defaulting Member" shall mean a Member that has committed an event of default as described in Section 7.7 hereof.


(a) Events of Default. The occurrence of any of the following events shall constitute an event of default and the Member so defaulting (herein referred to as the "Defaulting Member") shall (except as otherwise provided in Section 7.7(a)(iv) hereof) thereafter be deemed to be in default without any further action whatsoever on the part of the Company or the other Members: (i) attempted dissolution of the Company by such Member other than pursuant to the provisions contained elsewhere in this Agreement; (ii) a Bankruptcy occurs as to such Member; (iii) a Withdrawal Event (not including the death or incapacity of an individual Member) occurs as to such Member; or (iv) a material breach by such Member of this Agreement
