English to Russian Tech/Engineering Aerospace / Aviation / Space Aircraft Operating Lease Agreement

"Maintenance Rent" means, in relation to any Maintenance Rent Payment Date, the sum equal to the amount payable on a Maintenance Rent Payment Date determined by the aggregate of each Maintenance Rent Rate multiplied by the number of Flight Hours, Cycles or Months, or parts thereof that the Aircraft, Engine, LLP, Landing Gear, APU or other Part (as applicable to the relevant Maintenance Rent Rate) is operated in the Maintenance Rent Period that immediately preceeds such Maintenance Rent Payment Date.

"Maintenance Rent Activity" or "MRA" has the meaning set forth in Section 5.3.1.

"Maintenance Rent Adjustment Date" means the last day of each Maintenance Rent Adjustment Period.

"Maintenance Rent Adjustment Period" means each of the following periods: (a) with respect to the first Maintenance Rent Adjustment Period, the period commencing on the Delivery Date and ending on the last day of the month that is twelve (12) months after the end of the month that Delivery took place; (b) immediately following the first Maintenance Rent Adjustment Period, each of the consecutive twelve (12) Maintenance Rent Periods throughout the Lease Term, and (c) with respect to the final Maintenance Rent Adjustment Period, the period commencing on the date falling immediately after the final date of the preceding Maintenance Rent Adjustment Period and ending on the Expiry Date (thus, the last Maintenance Rent Adjustment Period may be less than twelve (12) months).

"Maintenance Rent Balance" means the aggregate of all MRA Maintenance Rent Balances from time to time.

"Maintenance Rent Payment Date" means the 15th (fifteenth) calendar day of each calendar month during the Lease Term. If such day is not a Business Day, then the Maintenance Rent Payment Date is the immediately preceding Business Day. The last Maintenance Rent Payment Date of the Lease Term is the Expiry Date.

"Maintenance Rent Period" means each of the following periods throughout the Lease Term: (a) the period commencing on and including the Delivery Date up to and including the last day of the calendar month in which Delivery took place; (b)each subsequent consecutive calendar month throughout the Lease Term (each commencing on and including the first day of the calendar month and ending on and including the last day of such calendar month; and (c) in relation to the last Maintenance Rent Period of the Lease Term, the period commencingon and including the first day of the calendar month in which the Expiry Date shall occur abd ending in and including the Expiry Date.

"Maintenance Rent Rates" means each of the amounts shown as Base Maintenance Rent Rates for each MRA in Exhibit B as adjusted in accordance with Section 5.3.2.
