Source text - English 1. GENERAL – SCOPE OF APPLICATION
To the fullest extent permitted under the applicable laws, the General Purchasing Terms and Conditions (“T&Cs”) of X (“the Company”) will apply exclusively unless expressly amended by mutual written agreement between the parties. The Company does not accept any Supplier's terms and condi-tions deviating from or contrary to those of the Company, unless the application of such terms and conditions has been expressly approved by the Company in writing. The Company's T&Cs will also apply if the Company accepts delivery by the Supplier and/or pays the invoice even though the Company knows of Supplier's terms and conditions deviating from those of the Company. The Company's T&Cs will apply to each separate agreement for the supply of goods, works, materials or services (hereinafter named “Goods”) to the Company which will be entered into at some point in the future and they will apply as of commencement of contractual negotiations.
2. CONCLUSION OF AGREEMENTS
2.1 An agreement establishing obligations binding upon the Company shall be based on the contents of a written order placed by the Company. The Supplier is obliged to sign and return an order form immediately, but no later than ten days after its being sent by the Company. The Company will not be bound by any modifications to its order form unless expressly accepted by the Company in writing. If the requirement to sign and return an order form timely and without modifications is not met, the Company will be entitled to cancel the relevant order. If the Supplier fails to confirm an order in writing but nev-ertheless ships. Goods to the Company, the Supplier will be deemed to have accepted the terms of the order as well as the the Company's T&Cs.
2.2 The Supplier is obliged to notify the Company in its offer of any defects or deficiencies that the Company's letter of inquiry may have, pointing out in particular state of the art requirements under product liability law, environmental law provisions, accident prevention requirements, technical stan-dards, obligations to obtain an official permit, approval or licence, if any. The Supplier will specify the relevant product information no later than upon delivery and without further request. The Company's approval of designs, drawings or other docu-mentation does not release the Supplier from its liability hereunder.
2.3 The trade terms will be construed in line with the INCOTERMS issued by the International Chamber in Paris, 2000 edition.
Translation - German 1. ALLGEMEINES – GELTUNGSBEREICH
Es gelten ausschließlich die vorliegenden Allgemeinen Einkaufsbedingungen (nachfolgend „AEB“) von X (nachfolgend „das Unternehmen“) im rechtlich zulässigen Umfang, es sei denn, die AEB wurden ausdrücklich im beiderseitigen schriftlichen Einvernehmen von den Vertragsparteien geändert. Das Unternehmen akzeptiert keine von den vorliegenden AEB abweichenden oder den vorliegenden AEB widersprechenden Bedingungen des Lieferanten, es sei denn, das Unternehmen hat der Anwendung solcher Bedingungen ausdrücklich schriftlich zugestimmt. Die AEB gelten auch dann, wenn das Unternehmen Lieferungen des Lieferanten annimmt und/oder Rechnungen des Lieferanten begleicht, obwohl das Unternehmen Kenntnis von den abweichenden Bedingungen des Lieferanten hatte. Die AEB gelten für alle Verträge bezüglich Waren- und Materiallieferungen sowie Arbeits- und Dienstleistungen (nachfolgend zusammenfassend „Lieferungen und Leistungen“), die das Unternehmen künftig abschließen wird; die AEB gelten mit Beginn der jeweiligen Vertragsverhandlungen.
2. VERTRAGSABSCHLUSS
2.1 Alle Verträge, die Verpflichtungen seitens des Unternehmens enthalten, werden auf der Grundlage eines vom Unternehmen erteilten schriftlichen Auftrags abgeschlossen. Spätestens zehn Tage nach Versand eines Auftragsformulars durch das Unternehmen hat der Lieferant dieses unterzeichnet zurückzuschicken. Änderungen des Auftragsformulars, denen das Unternehmen nicht ausdrücklich schriftlich zugestimmt hat, sind für das Unternehmen nicht bindend. Wird das Auftragsformular nicht innerhalb der vorgesehenen Frist, unverändert und unterzeichnet zurückgeschickt, so darf das Unternehmenden den entsprechenden Auftrag stornieren. Versäumt der Lieferant die schriftliche Bestätigung eines Auftrags, liefert aber dennoch Waren an das Unternehmen, so geht das Unternehmen davon aus, dass der Lieferant sowohl die Auftragsbedingungen als auch die vorliegenden AEB angenommen hat.
2.2 Bei Unterbreitung eines Angebots muss der Lieferant das Unternehmen von allen Mängeln, die die Anfrage des Unternehmens möglicherweise aufweist, in Kenntnis setzen; insbesondere hat der Lieferant auf aktuelle Anforderungen bezüglich Produkthaftung, Umweltrecht, Unfallschutz, technischen Normen und Genehmigungs- oder Lizenzierungspflichten (sofern erforderlich) hinzuweisen. Bei der Lieferung hat der Lieferant die entsprechenden Produktinformationen unaufgefordert vorzulegen. Die Billigung von Entwürfen, Zeichnungen oder sonstigen Unterlagen seitens des Unternehmens entbindet den Lieferanten nicht von seinen hierin festgelegten Pflichten.
2.3 Die Handelsklauseln sind in Übereinstimmung mit den INCOTERMS der Internationalen Handelskammer in Paris in der Fassung von 2000 auszulegen.
