Source text - English SUBSCRIPTION AND SALE
Subject to the terms and conditions set out in the Program Agreement, dated June ●, 2007 (the “Program Agreement), among the Company and the several Dealers, the Notes may be offered from time to time by the Company through the Dealers, which have agreed to use all reasonable efforts to solicit purchasers of the Notes. The Company will pay the relevant Dealer a commission for sales made through it as the Dealer.
The Company may also sell Notes to the Dealers as principal for their own accounts at a discount or commission to be agreed upon. In addition, the Notes may be sold from time to time through a syndicate of financial institutions, for which a Dealer shall act as lead manager (a “Lead Manager”). Such Notes may be resold at prevailing market prices, or at prices related thereto, at the time of such resale, as determined by the relevant Dealer.
The Company has reserved the right to sell Notes directly on its own behalf, in which case no commissions will be payable with respect to any such sale.
The Company has agreed to indemnify the Dealers against certain liabilities and expenses.
In order to facilitate the offering of the Notes, certain persons participating in the offering of the Notes may engage in transactions that stabilize, maintain or otherwise affect the price of the Notes during and after the offering of the Notes.
Translation - Spanish SUSCRIPCIÓN Y VENTA
Sujeto a los términos y condiciones establecidos en el Convenio del Programa de fecha [●] de junio de 2007, (el "Convenio del Programa"), celebrado entre la Compañía y los diversos Colocadores, las Obligaciones Negociables pueden ser ofrecidas periódicamente por la Compañía a través de los Colocadores, que se han comprometido a realizar todo esfuerzo razonable para colocar las Obligaciones Negociables. La Compañía pagará al Colocador respectivo una comisión por las ventas llevadas a cabo por su participación como Colocador.
La Compañía puede también vender las Obligaciones Negociables a los Colocadores por su propia cuenta con un descuento o con una comisión a establecerse. Además, las Obligaciones Negociables pueden venderse periódicamente a través de un consorcio de instituciones financieras, para las que el Colocador actuará como agente principal (un "Agente Principal"). Dichas Obligaciones Negociables pueden ser revendidas a precios de mercado vigentes, o a precios relacionados con los mismos, al momento de dicha reventa, de la forma determinada por el Colocador pertinente.
La Compañía se reserva el derecho de vender las Obligaciones Negociables directamente en su propio nombre, en cuyo caso no se pagarán comisiones respecto de cualquiera de dichas ventas.
La Compañía ha convenido indemnizar a los Colocadores contra determinadas obligaciones y gastos.
A fin de facilitar la oferta de las Obligaciones Negociables, determinadas personas que participan en la oferta de las Obligaciones Negociables pueden llevar a cabo operaciones que estabilicen, mantengan o bien afecten el precio de las Obligaciones Negociables durante y después de la oferta de las Obligaciones Negociables.
