Source text - English Dear Messrs. ABC and DEF:
You have asked us to perform legal services for you relating to your loan arrangement. It is customary for a lender and debtor to employ different attorneys or law firms to assist them in drafting and negotiating related loan documents. However, you have requested the firm of XYZ to serve as the attorney for all of you for purposes of this transaction. Hence, you should understand that since we would be representing all of you, each of you would be our client. Under these circumstances, I want to advise you of the considerations involved in such “dual representation” and to obtain your express written consent to such representation.
A lender and a debtor have differing and conflicting interests and objectives regarding a given transaction. If each of you had a separate lawyer, you would each have an “advocate” for your position and would receive totally independent advice. Information given to your separate lawyer would be confidential and could not be obtained by the other party to this transaction without your consent.
That is not the case when one firm advises all of you. If you ask us to continue to serve you jointly, our effort will be to assist in developing a coordinated overall plan and to encourage the resolution of differing interests in an equitable manner and in the best interests of each party. If two of you have a difference of opinion concerning your proposed loan arrangement, we can point out the pros and cons of such differing opinions. However, we cannot be an advocate for one of you against the other. Matters which one of you might discuss with us in the loan arrangement process cannot be kept from the other, although it certainly is privileged from disclosure to third parties.
If conflicts do arise between each-other and if they are of such nature that it is impossible in our judgment to perform our obligations to each of you in accordance with this letter, it would become necessary for us to withdraw as your joint attorney and to advise each to obtain independent counsel.
After considering these factors, each of you must decide whether you wish us to continue to represent you jointly in connection with your loan arrangements and related matters. If you do, please sign and return the enclosed copy of this letter in the envelope provided. By signing and returning the letter, you are acknowledging that you have read and understand this letter and wish us to proceed with your representation.
Please keep in mind that you are each completely free at any time to have the advice of separate counsel. Please get in touch with me if you have any questions whatsoever about this matter.
We have each reviewed the foregoing letter and understand its contents. We understand the discussion of conflicts set forth above and realize that there are areas where our interests and objectives may differ and areas of potential or actual conflict of interest between us in connection with our loan package and related matters. We understand that either of us may retain separate, independent counsel in connection with these matters at any time. After careful consideration, each of us requests that XYZ represent us jointly in connection with our loan package and related matters and each of us consents to that dual representation. Each of us also understands and agrees that communications and information XYZ receives from either of us relating to these matters may be shared with the other.
