Source text - English POWER PURCHASE AGREEMENT
NOW, THEREFORE, the Parties agree as follows:
1. INTRODUCTION
The parties jointly represent that the basis for the determination of the terms of the Agreement are:
a. Energy Law of Montenegro
b. The Buyer’s license for performing the duties of the electric energy market operator nº [ ].
c. The Seller’s license to produce electric energy
d. [Others].
9. LIABILITY OF THE PARTIES FOR UNDUE PERFORMANCE OF THE AGREEMENT
1. In the event of the non-performance or improper performance of this Agreement, the Parties reserve any and all rights, claims and legal remedies vested in the Parties on the basis of this Agreement or by the provisions of the applicable law.
2. The Seller will be responsible exclusively for damages remaining in an adequate causal link, caused directly and exclusively to the Buyer as a result of the non-performance or improper performance of this Agreement by the Seller.
For the avoidance of doubt, Seller will not be responsible towards any third party as a result of the non-performance or improper performance of this Agreement.
3. The payment for damage referred to in sections 1 and 2 will occur within 14 days from the date of delivery of a correctly issued accounting note by the Party which suffered damage, together with calculations in order to allow an analysis of the damage suffered, unless the other Party challenges such note in writing.
4. The date of delivery of the accounting note shall be deemed to be the date of delivery of its original.
5. Payment will be made by transfer to the bank account indicated by the Party issuing the accounting note.
6. For the avoidance of doubts and subject to the provisions of law in force, each of the Parties undertakes to use any economically justifiable efforts in order to minimise any losses or damage it may sustain.
15. TERM OF THE AGREEMENT
This Agreement is entered into for a period of 20 years from the Commencement Date.
However, if the Lease Agreement remains valid after the expiry of this period of 20 years from the Commencement Date, then the effective term of the Agreement shall be automatically extended upon Seller’s written notice to the Buyer until the expiry of the Lease Agreement.
If Force Majeure occurs, this period will be automatically extended for the period of time of such Force Majeure and with the electric energy price applicable when such Force Majeure occurred.
16. DISPUTE RESOLUTION
Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination or as to rights or obligations of the Parties hereunder shall be referred to and finally resolved by [TBD].
17. FINAL PROVISION
1. In matters not regulated by the Agreement the provisions of the Law on Obligations and the provisions of the legal acts and documents cited in Article 1 of the Agreement are applicable as well as other provisions of applicable law.
2. If any provision of the Agreement is turn out to be null and void or ineffective, this does not affect the validity of the remaining provisions of the Agreement.
3. This Agreement has been signed in 2 (two) bilingual counterparts in Montenegrin and English, 1 (one) copy for each of the Parties. In case of a discrepancy between the text in the English and the Montenegrin language, the English version shall apply.
4. Schedule 1 constitutes an integral part of this Agreement.
Translation - Spanish CONTRATO DE COMPRA DE ENERGÍA
EN VIRTUD DE LO ANTEDICHO, las Partes convienen en lo siguiente:
1. INTRODUCCIÓN
Las partes declaran de manera conjunta que la base para la definición de los términos se halla en:
a. La Ley de la Energía de Montenegro
b. La licencia del Comprador para ejercer las funciones del operador nº [ ] en el mercado de la energía eléctrica.
c. La licencia del Vendedor para generar energía eléctrica
d. [Otros].
9. RESPONSABILIDAD DE LAS PARTES ANTE EL CUMPLIMIENTO INDEBIDO DEL CONTRATO
1. En caso de incumplimiento o cumplimiento incorrecto de este Contrato, las Partes se reservan todos los derechos, reclamaciones y recursos legales que puedan hacer valer en virtud del Contrato o las disposiciones de la ley aplicable.
2. El Vendedor será el único responsable de los daños y perjuicios residuales con nexo causal adecuado que ocasione directa y exclusivamente al Comprador como resultado del incumplimiento o cumplimiento incorrecto del Contrato.
Para evitar cualquier duda, el Vendedor no se responsabilizará ante terceros por el incumplimiento o cumplimiento incorrecto del Contrato.
3. El pago de los daños y perjuicios mencionado en las Subcláusulas 1 y 2 se hará dentro de los 14 días a partir de la entrega de una nota contable emitida correctamente por la Parte que sufrió los daños y perjuicios, junto con los cálculos a fin de poder evaluar el daño sufrido, salvo que la otra Parte objete dicha nota por escrito.
4. La fecha de la entrega de la nota contable se considerará la fecha de entrega de su original.
5. El pago se hará mediante transferencia a la cuenta bancaria que indique la Parte que emita la nota contable.
6. Para evitar cualquier duda y conforme a las disposiciones de la ley vigente, cada una de las Partes se compromete a realizar los esfuerzos económicamente justificables para minimizar todo daño o perjuicio que pueda sufrir.
15. PLAZO DEL CONTRATO
Se suscribe el presente Contrato por un periodo de 20 años contados a partir de la Fecha de Inicio.
No obstante, si el Contrato de Arrendamiento sigue vigente tras el vencimiento de este periodo de 20 años contados a partir de la Fecha de Inicio, el plazo efectivo del Contrato se prorrogará automáticamente mediante notificación escrita dirigida al Comprador hasta que concluya el Contrato de Arrendamiento.
Si se produce una situación de fuerza mayor, este periodo se prorrogará automáticamente mientras dure la situación de fuerza mayor y se aplicará el precio de la energía eléctrica vigente en ese momento.
16. RESOLUCIÓN DE CONTROVERSIAS
Toda controversia derivada o relacionada con el Contrato, inclusive cualquier cuestión relativa a su existencia, validez o expiración o a los derechos u obligaciones de las Partes contractuales se remitirá y será resuelta por [TBD].
17. DISPOSICIÓN FINAL
1. En las cuestiones no reglamentadas por el Contrato se aplicarán las disposiciones de la Ley de Obligaciones y las disposiciones de los actos y documentos legales mencionados en la Cláusula 1 del Contrato, así como las demás disposiciones de la legislación vigente.
2. En caso de que alguna de las cláusulas o disposiciones del Contrato sea nula, inválida o ineficaz, ello no afectará la validez de las cláusulas o disposiciones restantes del Contrato.
3. Se han suscrito dos ejemplares bilingües del Contrato, en montenegrino e inglés, un ejemplar para cada una de las Partes. En caso de haber discrepancia entre el texto en inglés y en montenegrino, se aplicará la versión en idioma inglés.
4. El Anexo 1 constituye parte integral del Contrato.

CHAPTER I
WITHIN THE PALE
When I was a little girl, the world was divided into two parts; namely, Polotzk, the place where I lived, and a strange land called Russia. All the little girls I knew lived in Polotzk, with their fathers and mothers and friends. Russia was the place where one's father went on business. It was so far off, and so many bad things happened there, that one's mother and grandmother and grown-up aunts cried at the railroad station, and one was expected to be sad and quiet for the rest of the day, when the father departed for Russia.
After a while there came to my knowledge the existence of another division, a region intermediate between Polotzk and Russia. It seemed there was a place called Vitebsk, and one called Vilna, and Riga, and some others. From those places came photographs of uncles and cousins one had never seen, and letters, and sometimes the uncles themselves. These uncles were just like people in Polotzk; the people in Russia, one understood, were very different. In answer to one's questions, the visiting uncles said all sorts of silly things, to make everybody laugh; and so one never found out why Vitebsk and Vilna, since they were not Polotzk, were not as sad as Russia. Mother hardly cried at all when the uncles went away.
One time, when I was about eight years old, one of my grown-up cousins went to Vitebsk. Everybody went to see her off, but I didn't. I went with her. I was put on the train, with my best dress tied up in a bandana, and I stayed on the train for hours and hours, and came to Vitebsk. I could not tell, as we rushed along, where the end of Polotzk was. There were a great many places on the way, with strange names, but it was very plain when we got to Vitebsk.
The railroad station was a big place, much bigger than the one in Polotzk. Several trains came in at once, instead of only one. There was an immense buffet, with fruits and confections, and a place where books were sold. My cousin never let go my hand, on account of the crowd. Then we rode in a cab for ever so long, and I saw the most beautiful streets and shops and houses, much bigger and finer than any in Polotzk.
We remained in Vitebsk several days, and I saw many wonderful things, but what gave me my one great surprise was something that wasn't new at all. It was the river--the river Dvina. Now the Dvina is in Polotzk. All my life I had seen the Dvina. How, then, could the Dvina be in Vitebsk? My cousin and I had come on the train, but everybody knew that a train could go everywhere, even to Russia. It became clear to me that the Dvina went on and on, like a railroad track, whereas I had always supposed that it stopped where Polotzk stopped. I had never seen the end of Polotzk; I meant to, when I was bigger. But how could there be an end to Polotzk now? Polotzk was everything on both sides of the Dvina, as all my life I had known; and the Dvina, it now turned out, never broke off at all. It was very curious that the Dvina should remain the same, while Polotzk changed into Vitebsk!

De pequeña el mundo se dividía en dos: Pólatsk, el lugar donde vivía, y una tierra extraña llamada Rusia. Todas las niñas que conocía vivían en Pólatsk con sus padres y amigos. Rusia era el lugar donde iban nuestros padres a hacer negocios. Estaba tan distante y sucedían tantas cosas malas allá que las madres, las abuelas y las tías mayores se echaban a llorar en la estación del ferrocarril y tenías que quedarte triste y en silencio durante el resto del día hasta que tu padre partiera hacia Rusia.
Al cabo de un tiempo supe que había otra división: una región intermedia entre Pólatsk y Rusia. Parece que había un lugar conocido como Vitebsk y otro llamado Vilna, Riga y otros más. De estos lugares venían fotografías de tíos y primos que nunca habíamos visto, así como también cartas y en ocasiones tíos en persona. Estos tíos eran como los habitantes de Pólatsk. Comprendíamos que en Rusia la gente era muy distinta. En respuesta a nuestras preguntas, los tíos que estaban de visita decían una infinidad de tonterías que a todos nos hacían reír. De tal manera que nunca se lograba averiguar el motivo por el que Vitebsk y Vilna — que no eran Pólatsk — no eran tan tristes como Rusia. Así que mi madre difícilmente derramaba lágrimas cuando partían los tíos.
En una ocasión, cuando tenía ocho años de edad, una de mis primas adultas fue a Vitebsk. Todos fueron a despedirse de ella, excepto yo… pues la acompañé. Me depositaron en el tren, con mi mejor vestido y ataviada con una pañoleta. Permanecí en el tren durante horas interminables antes de arribar a Vitebsk. Durante la travesía me fue imposible precisar dónde terminaba Pólatsk. En el camino pasamos por numerosos lugares que tenían nombres extraños, pero al llegar a Vítebsk era indudable que ese era el lugar.
La estación de ferrocarril era enorme, mucho más que la de Pólatsk. Llegaban bastantes trenes a la vez, no uno solo. Había una inmensa cafetería provista de frutas y panes, además de un puesto en el que vendían libros. Tanta era la multitud que mi prima nunca me soltó la mano. Luego abordamos un taxi en el que hicimos un largo recorrido en el que vi las más bellas calles, tiendas y casas, todas mucho más grandes y hermosas que las de Pólatsk.
Permanecimos en Vítebsk durante varios días y vi muchas cosas hermosas, pero lo que me sorprendió en gran manera era algo que no era nuevo del todo. Era el río –el Daugava. Bueno, el Daugava se halla en Pólatsk. Toda mi vida había visto el Daugava. Entonces, ¿cómo es que el Daugava se encontraba en Vitebsk? Mi prima y yo habíamos llegado en el tren, pero todos sabían que un tren puede ir a todas partes, incluso a Rusia. Comprendí claramente que el Daugava continuaba sin fin, como las vías de un ferrocarril, pero antes siempre pensaba que terminaba donde termina Pólatsk. Ahora bien, yo nunca había visto el confín de Pólatsk, aunque quería verlo cuando fuera mayor. Pero, ¿cómo es que ahora Pólatsk tenía un fin? Según pensé toda mi vida Pólatsk era todo lo que existía en ambos lados del Daugava. Sin embargo ahora sucedía que el Daugava no se separaba. ¡Era bastante curioso que el Daugava siguiera siendo el mismo, mientras que Pólatsk se convertía en Vítebsk!
