Source text - English Clinical Evolution: six years. Sensation of early fatigue in the legs, slowly worsening. Two years before admission, sensation of gait incoordination and band constriction around the chest.
Neurological Examination: spastico-ataxic paraparesis towards left. Hypoesthesia on light touch and pain testing from D6, distally exacerbated towards left. Hypoesthesia from the iliac crests on vibration testing. Sphincter disturbance with retention.
Neuroradiological Examination: x-ray: thinning of the left D4, D5 and D6 facet joints. MR: an intradural expanding process in D5-D6 with cord impingement and right forward displacement.
Operation: dilated circulation on the cord surface. Delamination of the Dural plane with coagulation of the circulation in between the external and internal layers. Complete exeresis of the posterolateral tumour has a calcified plaque on its surface on which the left sensory root adheres to the tumour surface.

Source text - English Clinical evolution: three years (she underwent mastectomy at the age of 64). Before being admitted into hospital she suffered initial dorsolumbar pain which became intractable in a few months with shooting girdle irradiation in the lower thoracic region just above the umbilical line, interspersed with paraesthesias.
Neurological examination: almost complete paraplegia: only small toe movements are possible. Some slowed segmental movement in the left leg. Bilateral Babinski response. Absent left ankle jerk. Hyperaesthesia on sensitivity testing on right D8. From D9-D10 complete anaesthesia.
Neuroradiological examination: At MR, oval expanding lesion in D8-D9, probably extradural. Minimal thickening above and below the lesion along the Dural plane does not rule out meningioma.
Operation: complete exeresis of a hard, compact horseshoe-shaped tumour compressing the Dural sac and enveloping the eighth dorsal root on the right.
Histological examination: metastasis from breast carcinoma.
Follow-up: immediate post-operative and long-term: in the first few days, improved motor response to painful stimuli and less sense of heaviness in the legs. Three months later, recovery of paraplegia with valid voluntary movements. One year later, the patient can walk with only minimal right-side support.
Translation - Italian Evoluzione clinica: tre anni (la paziente si è sottoposta a una mastectomia all’età di 64 anni). Prima del ricovero, la paziente riferiva dorsolombalgia iniziale, intervallata da parestesia, divenuta incurabile in pochi mesi, con irradiazione al cingolo nella regione toracica inferiore, appena sopra la linea ombelicale.

Esame neuroradiologico: rilevata con RM lesione ad espansione ovale alle vertebre D8-D9, probabilmente extradurale. Lieve ispessimento al di sopra e al di sotto della lesione, lungo il piano durale, non esclude meningioma.
Intervento: exeresi completa di un tumore duro, compatto e a ferro di cavallo, comprimente il sacco durale e avvolgente l’ottava radice dorsale al lato destro.
Esame istologico: metastasi da carcinoma mammario.
Follow-up: post-operatorio immediato e a lungo termine: nei primi giorni migliore risposta motoria a stimoli dolorosi e minor senso di pesantezza agli arti inferiori. Tre mesi dopo, guarigione della paraplegia con movimenti volontari validi. Un anno dopo, la paziente è in grado di deambulare con un minimo supporto al lato destro.

9.1 These general conditions of sale come into force on ___ until ___, and shall be automatically renewed by one year periods unless and until either party notifies the other party termination thereof, via registered mail, at least ___ months prior to the expiration of any of the periods above.
10. APPLICBALE LAW - COMPETENT JURISDICTION
10.1 These general conditions of sale shall be governed by the CISG and, with respect to any matters not covered by such Convention, by the Laws of Italy.
10.2 For the purpose of interpreting the terms of delivery or any other trade terms as may be employed by the parties, reference is made to Incoterms® 2010 ICC, as they are in force at the time of the conclusion of each contract of sale of the PRODUCTS.
10.3 The Tribunal of ___ shall have exclusive jurisdiction over any dispute arising out of or in connection with the validity, interpretation and performance these general conditions of sale.
10.4 As an exception to the principle under art. 10.3 above, the SELLER shall be entitled to bring any action against the BUYER, including actions to obtain seizures and interim measures, before the competent Court of the place where the BUYER has its registered office.
11. MISCELLANEA
11.1 These general conditions of sale are the only agreement between the parties for the sale of the PRODUCTS and may be amended exclusively by the written agreement of the parties.
11.2 Possible nullity of any or all provisions herein shall not invalidate any remaining contractual provisions; the parties, if possible, shall replace any invalid provision with valid clauses having equivalent or the closest contents.
11.3 The Italian text of these general conditions of sale, regardless of any translation in any other language, shall be the only autentic text for the purpose of the interpretation thereof.
11.4 Should either party fail to take any action or assert any right hereunder, such acquiescence shall not be interpreted as a waiver to take any action or assert any right in the future.

10.4 In deroga al principio di cui all’art. 10.3 summenzionato, il VENDITORE avrà il diritto di intraprendere qualsiasi azione contro l’ACQUIRENTE, ivi comprese azioni atte ad ottenere sequestri e misure provvisorie, dinanzi al Tribunale competente del luogo in cui l’ACQUIRENTE ha la propria sede legale.
11. VARIE ED EVENTUALI
11.1 Le presenti condizioni generali di vendita costituiscono l’unico accordo tra le parti per la vendita dei PRODOTTI e potranno essere modificate esclusivamente mediante accordo scritto delle parti.
11.2 L’eventuale nullità di una o di tutte le disposizioni del presente contratto non invaliderà le restanti disposizioni contrattuali; le parti, ove possibile, sostituiranno ogni disposizione invalida con clausole valide aventi un contenuto equivalente o il più simile possibile.
11.3 Il testo italiano delle presenti condizioni generali di vendita, indipendentemente da qualsiasi traduzione in qualsiasi altra lingua, sarà l’unico testo autentico ai fini dell’interpretazione delle stesse.
11.4 Qualora una delle parti non intraprendesse alcuna azione o facesse valere alcun diritto di cui al presente contratto, tale acquiescenza non sarà interpretata come una rinuncia a intraprendere qualsiasi azione o a far valere qualsiasi diritto in futuro.

Source text - English 1. Appointment of the Distributor
1.1. Subject to the terms and conditions set forth in this Agreement, the Principal hereby appoints the Distributor as sole and exclusive distributor for the Products in the Territory and the Distributor hereby accepts such appointment.
1.2. During the validity of this Agreement
a) the Principal shall supply the Products to the Distributor on a continuous basis, and
b) the Distributor shall purchase the Products from the Principal for advertising, marketing and selling in the Territory only.
2. Sole and exclusive distributorship
2.1. During this Agreement
a) the Principal shall neither appoint any other Distributor for the Products in the territory nor sell any Product to any customer located in the Territory and shall promptly refer to the Distributor any and all the commercial inquiry received by a customer located in the Territory, and
b) the Distributor shall promptly refer to the Principal any and all the commercial inquiries it may receive for sale of the Products outside or export from the Territory.
3. No sale or Export outside the Territory
3.1. The Distributor (i) shall neither export nor advertise and sell the Products outside the Territory; and (ii) shall set the Products to customers with their registered place of business in the Territory, for consumption and use in the Territory itself only.
3.2. For this purpose the Distributor when selling the Products in the Territory, shall make clear in its standard terms and conditions of sale that (i) the Products are sold for consumption and use only in the Territory under the authorization of the Principal and cannot be re-exported outside the Territory and to the European Union, and (ii) any sale agreement between the Distributor and its customers in the Territory does not imply the Principal’s authorization to re-export the Product within the European Union.

1.1. Secondo quanto previsto dai termini e dalle condizioni del presente Contratto, il Concedente con il presente nomina il Concessionario unico ed esclusivo concessionario per i Prodotti nel Territorio e il Concessionario con il presente accetta tale nomina. 1.2 Nel periodo di validità del presente Contratto
a) il Concedente fornirà i Prodotti al Concessionario su base continuativa e

2. Distribuzione esclusiva
2.1. Durante il presente Contratto
a) il Concedente non nominerà nessun altro Concessionario per i Prodotti nel territorio né venderà alcun Prodotto a un qualsiasi cliente situato nel Territorio e riferirà tempestivamente al Concessionario tutte le richieste commerciali ricevute da un cliente situato nel Territorio,
b) il Concessionario riferirà tempestivamente al Concedente tutte le richieste commerciali che dovesse ricevere per la vendita dei Prodotti al di fuori del Territorio.
3. Divieto di vendita ed Esportazione al di fuori del Territorio
3.1. Il Concessionario (1) non esporterà né pubblicizzerà e venderà i Prodotti al di fuori del Territorio, (2) venderà i Prodotti a clienti con sede legale nel Territorio, per il consumo e l’utilizzo esclusivamente nel Territorio stesso.
3.2. A tal fine il Concessionario, al momento della vendita dei Prodotti nel Territorio, chiarirà nei propri termini e condizioni di vendita standard che (1) i Prodotti sono venduti per il consumo e l’utilizzo esclusivamente nel Territorio previa autorizzazione del Concedente e non possono essere riesportati al di fuori del Territorio e nell’Unione Europea, (2) qualsiasi contratto di vendita tra il Concessionario e i propri clienti nel Territorio non implica l’autorizzazione del Concedente a riesportare il Prodotto all’interno dell’Unione Europea.

WITNESSETH:
- whereas the SELLER is an Italian company which manufactures and markets ___ as of Annex 1 hereto (hereinafter the PRODUCTS);
- whereas the parties agree that all the PRODUCTS supplied by the SELLER to the BUYER shall be governed by the general conditions as provided herein;
Therefore, in consideration of the mutual covenants herein contained, it is agreed as follows:
1. RECITAL AND ANNEXES
1.1 The recitals and the Annexes are an integral part of these general conditions of sale.
2. ORDERS AND DELIVERIES OF THE PRODUCTS
2.1 No order of the BUYER shall be binding for the SELLER unless expressly accepted in writing by the SELLER.
2.2. The PRODUCTS shall be delivered by the SELLER to the BUYER Ex Works (EXW) - SELLER’s plant at ___ within ___ days from the SELLER’s acceptance of the relevant order.
2.3 The SELLER shall not be liable for any loss or damage to the PRODUCTS after delivery to the BUYER; in no case shall the BUYER be relieved from its obligation to pay the price of the PRODUCTS when loss or damage to the PRODUCTS occurs after the transfer of risk on the BUYER.
2.4 The SELLER shall be entitled to withhold the delivery of the PRODUCTS in the event that the BUYER fails to make payment thereof.
2.5 In the event of delay in delivery of the PRODUCTS, for which the SELLER may be responsible, the BUYER shall not be entitled to any compensation, under any form, for the damages it may suffer.
3. TECHNICAL CHARACTERISTICS OF THE PRODUCTS
3.1 The technical characteristics or specifications of the PRODUCTS, as may have been indicated in brochures, price lists, catalogues and similar documents, shall be binding, for the purpose of assessing conformity thereof, only if specifically referred to in the relevant order and accepted by the SELLER.
3.2 At all times the SELLER shall be entitled to modify the PRODUCTS as necessary or appropriate, provided that the SELLER informs the BUYER of any such modifications.
4. PRICES AND PAYMENT OF THE PRODUCTS
4.1 Unless otherwise agreed, prices of the PRODUCTS are to be considered Ex Works; any additional costs or charges whatsoever relating to delivery and/or transport shall be exclusively for the account of the BUYER.
4.2 The parties may agree that payment of the PRODUCTS is made by means of an irrevocable documentary credit, to be issued in accordance with the ICC UCP 600; such credit shall be notified to the SELLER at least 60 days before the agreed date of delivery; the documentary credit shall have to be confirmed by an Italian bank approved by the SELLER.
4.3 If the parties agree that payment of the PRODUCTS is to be made after delivery thereof, the BUYER shall pay the price of the PRODUCTS within ___ days from the date on which the relevant invoice was issued.
4.4 In case of delay in payment, the BUYER shall pay the SELLER an interest equals to ___%.

2.2 I PRODOTTI saranno consegnati dal VENDITORE all’ACQUIRENTE Franco Fabbrica (EXW)- stabilimento del VENDITORE presso __ entro __ giorni dall’accettazione del VENDITORE del relativo ordine.
2.3 Il VENDITORE non sarà responsabile per eventuali perdite o danni ai PRODOTTI dopo la consegna all’ACQUIRENTE; in nessun caso l’ACQUIRENTE sarà esonerato dal proprio obbligo di pagare il prezzo dei PRODOTTI qualora la perdita o il danneggiamento dei PRODOTTI avvenga dopo il trasferimento del rischio all’ACQUIRENTE.
2.4 Il VENDITORE avrà il diritto di sospendere la consegna dei PRODOTTI qualora l’ACQUIRENTE non effettui il pagamento degli stessi.
2.5 In caso di ritardo nella consegna dei PRODOTTI, di cui il VENDITORE possa essere responsabile, l’ACQUIRENTE non avrà diritto a nessun risarcimento di sorta per i danni eventualmente subiti.
3. SPECIFICHE TECNICHE DEI PRODOTTI
3.1 Le caratteristiche o specifiche tecniche dei PRODOTTI, eventualmente indicate in opuscoli, listini prezzi, cataloghi e documenti similari, saranno vincolanti, ai fini della valutazione della conformità degli stessi, solo se espressamente indicate nel relativo ordine e accettate dal VENDITORE.
3.2 In qualsiasi momento il VENDITORE avrà il diritto di modificare i PRODOTTI ove necessario o opportuno, purché il VENDITORE informi l’ACQUIRENTE di tali modifiche.
4. PREZZI E PAGAMENTO DEI PRODOTTI
4.1 Salvo diverso accordo, il prezzo dei PRODOTTI è da intendersi Franco Fabbrica; eventuali costi aggiuntivi o oneri di sorta relativi alla consegna e/o al trasporto saranno esclusivamente a carico dell’ACQUIRENTE.
4.2 Le parti potranno convenire che il pagamento dei PRODOTTI avvenga mediante credito documentario irrevocabile, da emettere in conformità con le ICC UCP 600; tale credito sarà comunicato al VENDITORE almeno 60 giorni prima della data concordata di consegna; il credito documentario dovrà essere confermato da una banca italiana accettata dal VENDITORE.
4.3 Qualora le parti convengano che il pagamento dei PRODOTTI debba essere effettuato dopo la consegna degli stessi, l’ACQUIRENTE pagherà il prezzo dei PRODOTTI entro ___ giorni dalla data di emissione della relativa fattura.
4.4 In caso di ritardo nel pagamento, l’ACQUIRENTE dovrà corrispondere al VENDITORE un interesse pari al ___%.
