RECITALS
Whereas:
- XXX FRANCE is a company specialising in Aeronautics and Space manufacture,
- XXX FRANCE has occasion to procure Services and Supplies,
- The contract is open to a limited number of Suppliers who, in view of the stability of trading relations offered, undertake as follows:
ÿ first, to satisfy the technical, commercials and regulatory/administrative requirements,
ÿ secondly, to improve their competitiveness, particularly as regards reduction of costs, supply cycles related to the quality of all their Supplies and Services.
- The Supplier has acquainted itself with the requirements XXX FRANCE as stated in this Contract and, recognising that the stability of the trading relations offered should enable it to improve its competitiveness and the quality of its Supplies and Services, consents to sell to XXX FRANCE the said Services and Supplies.
NOW THIS AGREEMENT WITNESSETH:
ARTICLE 1 - DEFINITIONS
The following terms shall have assigned to them the meanings given opposite them:
Contract: this document and its attachments. The attachments are an integral part of the Contract.
Supply: industrial resource and associated devices defined in the Specifications.
Contract Package (Prestation) [Contract-Package supply or service]: Includes in particular the project development and supervision, the study, design, production and delivery of the Supply, the development, testing, technical assistance and delivery of the (definition and testing) documentation, and the training necessary for the execution of the specifications in accordance with the Contract.
Specifications: document (and its Attachments) expressing the requirements of XXX France, Reference xxxxx. This document expresses XXX France’s expectations and requirements regarding the technical aspects. This document forms Attachment 1 to this Contract.
Order: order in execution of all or part of the Contract; document satisfying government/administrative requirements.
ARTICLE 2 - OBJECT
The object of this Contract is to define the terms and conditions under which the Supplier undertakes to execute the Contract Package.
Acceptance of XXX France orders referring to this Contract implies unreserved conformance with the Contract’s requirements and compliance by the Supplier with all legal and regulatory requirements. The Supplier hereby expressly renounces the benefit of its own general conditions of sale and of any reservation-of-title clause.
ARTICLE 3 - ACCEPTANCE OF ORDERS
An Order shall be deemed to be unreservedly accepted by the Supplier, regardless of the medium used for making it, at the latest fifteen (15) days before its despatch, where the Supplier issues no refusal or reservations within that time, and shall also be so deemed if the Supplier has begun executing the Order, including in cases where no acknowledgement of receipt is issued. The day after the date of issue shown on the Order shall be deemed to be the date of dispatch.
It shall be incumbent upon the Supplier to ensure that it has available all the appropriate elements (documents, data, materials, tooling,…) before undertaking the work.
Every modification to the Order shall be covered by an addendum which shall be deemed to be unreservedly accepted as aforestated.
ARTICLE 4 - CONTRACT END-OF-VALIDITY DATE
The ending date for the Contract’s validity shall be reckoned from the actual date of Acceptance and shall include the twenty-four- (24-) month warranty period.

PRÉAMBULE
Etant préalablement rappelé que :
- XXX FRANCE est une société spécialisée dans la construction Aéronautique et Spatiale,
- XXX FRANCE est amené à recourir à l’achat de Prestations et de Fournitures,
- Le marché est offert à un nombre limité de fournisseurs qui, en regard de la stabilité des relations offertes, s’engagent :
- d’une part, à satisfaire ses exigences techniques, commerciales et administratives,
- d’autre part, à améliorer leur compétitivité, notamment en matière de réduction des coûts, des cycles de fournitures en la qualité de l’ensemble de leurs Prestations.
- Le Prestataire ayant pris connaissance des exigences d'XXX FRANCE précisées dans le présent Contrat et reconnaissant que la stabilité des relations offertes doit permettre d’améliorer sa compétitivité et la qualité de ses Prestations, accepte de lui vendre les dites Prestations et Fournitures.
Les Parties conviennent ce qui suit :
ARTICLE 1 - DÉFINITIONS
Les termes suivants auront le sens ci-après défini :
Contrat : le présent document et ses annexes. Les annexes font partie intégrante du Contrat.
Fourniture : moyen industriel et périphériques associés définis dans le Cahier Des Charges.
Prestation : Notamment, la maîtrise d'œuvre, l'étude, la réalisation, la livraison de la Fourniture, la mise au point, le contrôle, l'assistance technique, la livraison de la documentation (de définition et de contrôle), la formation, nécessaires à l'exécution du Cahier des Charges en accord avec le Contrat.
Cahier Des Charges : document (et ses Annexes) exprimant les besoins d’XXX France Référence xxxxx. Il traduit ses attentes et ses exigences sur les aspects techniques. Ce document constitue l’Annexe 1 du Contrat.
Commande : ordre d’exécution de tout ou partie du Contrat ; document de régularisation administrative.
ARTICLE 2 - OBJET
Le présent Contrat a pour objet de définir les termes et les conditions selon lesquels le Prestataire s'engage à exécuter la Prestation.
L’acceptation des commandes d’XXX France se référant au présent Contrat implique l'adhésion sans réserve aux exigences du Contrat, et le respect par le Prestataire des exigences légales et réglementaires. Le Prestataire renonce expressément à se prévaloir de ses propres conditions générales de vente et de toute clause de réserve de propriété.
ARTICLE 3 - ACCEPTATION DES COMMANDES
La Commande est considérée comme acceptée sans réserve par le Prestataire quel que soit son support, au plus tard dans les quinze (15) jours suivant son envoi, s'il n'y a pas eu refus ou réserves du Prestataire dans ce délai, ainsi que si le Prestataire a commencé à exécuter la Commande, y compris en cas de défaut d'accusé de réception. Le lendemain de la date d’émission figurant sur la Commande est considéré comme étant la date d’envoi.
Il appartient au Prestataire de vérifier qu’il dispose de tous les éléments appropriés (documents, données, matières, outillages,…) avant d’entreprendre les travaux.
Toute modification de la Commande doit faire l’objet d’un avenant dont l’acceptation sans réserve par le Prestataire est acquise comme précisé ci-dessus.
ARTICLE 4 - DATE DE FIN DE VALIDITÉ DU CONTRAT
La date de fin de validité du Contrat est calculée à partir de la date réelle de Réception et inclut les vingt-quatre (24) mois de garantie.
