Em razão das CESSIONÁRIAS XXX já terem pago à CEDENTE, cada uma, a importância de R$ 102.000,00 (cento e dois mil reais), a CEDENTE dá neste ato plena e irrevogável quitação acerca de tais parcelas, ficando o valor remanescente de R$ 102.000,00 (cento e dois mil reais) devido exclusivamente pela CESSIONÁRIA XXX., pago neste ato, do qual a CEDENTE também dá plena e irrevogável quitação; CLÁUSULA QUARTA: Todas as despesas com serviços de infraestrutura, melhoramentos da estrada particular das duas servidões de passagem susomencionadas serão rateadas em partes iguais entre os CESSIONÁRIOS; Parágrafo Primeiro: As despesas com a manutenção das referidas estradas serão rateadas entre os CESSIONÁRIOS, na proporção da utilização que cada um fizer das indigitadas estradas, que será aferida através de controle na Guarita de Acesso da CESSIONÁRIA XXX.; Parágrafo Segundo: A decisão para a realização dos serviços de infraestrutura, melhoramentos, conservação e manutenção das referidas estradas será exclusivamente da CESSIONÁRIA XXX., que notificará extrajudicialmente os demais, informando os serviços realizados e o valor de cada um a ser pago; Parágrafo Terceiro: A CEDENTE e os demais CESSIONÁRIOS terão o prazo de até três meses no máximo, contado do recebimento da citada notificação, para procederem ao pagamento das referidas despesas, sob pena de aquele que não efetuar o pagamento no referido prazo perder o direito de passagem aqui adquirido, bem como todos os demais direitos dele decorrentes; CLÁUSULA QUINTA: Sobre todos os direitos adquiridos pela CEDENTE e todas as obrigações por ela assumidas nas Escrituras Públicas de Constituição de passagem firmadas com o Sr. Aquino e esposa e o Sr. Noris e esposa, retro mencionadas na cláusula primeira, os CESSIONÁRIOS declaram ter pleno conhecimento e através do presente instrumento tornam-se solidários com a CEDENTE na sua integralidade, a partir desta data; CLÁUSULA SEXTA: Em decorrência do direito aqui cedido pela CEDENTE aos CESSIONÁRIOS, estes CESSIONÁRIOS podem autorizar ou permitir a passagem de qualquer pessoa ou veículo nas citadas estradas, bem como ceder integral ou parcialmente a parcela do direito ora adquirido, sem qualquer anuência; CLÁUSULA SÉTIMA: A CESSIONÁRIA XXX. confere neste instrumento o direito à CEDENTE, seus proprietários, funcionários e todos aqueles que residem e trabalham dentro da área de terras que a mesma possui na cabeceira da susomencionada estrada de passagem, tanto os atuais quanto os futuros, o direito de passagem no imóvel de sua propriedade (da CESSIONÁRIA), objeto da Matrícula nº ___________ do CRIH desta Comarca, a fim de que tenham acesso à praia, sem que isto represente qualquer custo adicional; CLÁUSULA OITAVA: A título de cláusula penal, não compensatória, estabelecem as partes que aquela que desistir do negócio ou descumprir qualquer das obrigações contidas nas cláusulas deste Instrumento pagará a cada uma das outras partes uma multa no valor R$ 20.000,00 (vinte mil reais), além de ser obrigada a devolver tudo o que já tiver recebido, e se a(s) parte(s) prejudicada(s) sofrer(em) perdas e danos, poderá(ão) esta(s) exigir o pagamento de devida indenização da que lhe prejudicou; CLÁUSULA NONA: Para todos os fins e efeitos de direito, os contratantes declaram aceitar a presente Escritura Pública nos expressos termos em que foi lavrada, obrigando-se a si, seus herdeiros e sucessores a bem e fielmente cumpri-la, e a mesma é celebrada sob a condição expressa de sua irrevogabilidade e irretratabilidade; CLÁUSULA DÉCIMA: Para dirimir quaisquer questões que direta ou indiretamente decorrem desta Escritura, as partes elegem o Foro da Comarca de Porto Seguro-Bahia, com renúncia expressa de qualquer outro, por mais privilegiado que seja; CLÁUSULA DÉCIMA PRIMEIRA: Fica o Sr. Oficial do Registro de Imóveis autorizado a proceder à averbação da presente Cessão Parcial de Direito de Servidão de Passagem nas Matrículas nº 24.811, 22.651, 22.652 e 22653, do CRIH desta Comarca. Access Security Point controls; Paragraph Two: The decision to carry out infrastructure, improvement, conservation and maintenance services on the aforementioned roads shall be the sole obligation of ASSIGNEE XXX. which shall provide the other parties with extrajudicial notification, informing them of the services carried out and the value to be paid by each one; Paragraph Three: The ASSIGNOR and the other ASSIGNEES shall make payment of said costs within a maximum period of three months from receipt of said notice, under penalty of any party not making said payment within the specified period losing the right of way acquired hereunder, and all other rights therein; CLAUSE FIVE: The ASSIGNEES hereby declare that they are fully aware of and hereby undertake joint liability with the ASSIGNOR, from this date, for all rights acquired by the ASSIGNOR and all duties undertaken in the Public Deeds for Constitution of Right of Way executed with Mr. Aquino and his wife and Mr. Noris and his wife, as set forth in clause one; CLAUSE SIX: As a result of the right assigned hereunder by the ASSIGNOR to the ASSIGNEES, the latter may authorize or permit the passage of any person or vehicle on said roads, and fully or partially assign that portion of the right acquired hereunder, without any consent; CLAUSE SEVEN: The ASSIGNEE XXX. hereby grants right of way on the property owned by it, set forth in Registration No. ___________ at the CRIH of this Judicial District to the ASSIGNOR, its owners, employees and all those residing and working within the lands adjoining the aforementioned through road, no extra cost, so that they may access the beach; CLAUSE EIGHT: As a non-compensatory penalty clause, the parties hereto hereby stipulate that the party withdrawing from the transaction or failing to fulfill any of the duties set forth herein shall pay each of the other parties a fine of twenty thousand reais (R$ 20,000.00) and shall be bound to return all sums received, and if the injured parties incur losses and damages, they may demand payment of the indemnity due from the party that caused the injury; CLAUSE NINE: For all legal purposes and effects, the parties hereto hereby declare that they accept this Public Deed in the express terms that they have been drawn up, which shall be binding on them, their heirs and successors in any way, and that the Deed is executed under the express condition that it is irrevocable and irreversible; CLAUSE TEN: The parties hereby elect the Legal District of Porto Seguro-Bahia to resolve any issues directly or indirectly arising hereunder, expressly renouncing all others, however privileged they may be; CLAUSE ELEVEN: The Registrar of the Real Estate Registry is hereby authorized to record this Partial Assignment of the Right of Easement in Records No. 24.811, 22.651, 22.652 and 22653, of this CRIH of this Judicial District.
