Source text - English The Arbitrator considers that the "conduct" provided in Article 7(3) of the Arbitration Law and Article 32 of the Civil Code refers to the consent from a party's conduct to be bound by an arbitration agreement and a contract. In this respect, the Arbitrator refers to the ICC Interim Award No. XXXX, dated XX September 1982, relied on by Claimant where the Court of Appeal of Paris in a decision of XX October 1983 rejected the plea of lack of jurisdiction of the arbitral tribunal and considered that "Following an autonomous interpretation of the agreement and the documents exchanged at the time of their negotiation and termination, the arbitrators have, for pertinent and non-contradicted reasons, decided, in accordance with the intention common to all companies involved, that A Company and B COMPANY have been parties to these agreements although they did not actually sign them and that therefore the arbitration clause was applicable to them as well." The Court of Appeal further ruled that "the arbitration clause expressly accepted by certain of the companies of the group should bind the other companies which, by virtue of their role in the conclusion, performance or termination of the contracts containing said clauses, and in accordance with the mutual intention of all parties to the proceedings, appear to have been veritable parties to these contracts or to have been principally concerned by them and the disputes to which they may give rise."
In light of the above, the Arbitrator needs to analyze the issue under the circumstances, and decide whether, within the context, a non-signatory party has, by its conduct, consented to be bound by the Arbitration Agreement.
Translation - Arabic يرى المحكّم أن مصطلح "التصرف" الوارد في الفقرة الثالثة من المادة السابعة من قانون التحكيم (Article 7(3) of the Arbitration Law) وفي المادة الثانية والثلاثين من القانون المدني (Article 32 of the Civil Code) يشير إلى رضاء الطرف بناء على التصرف بأن يلتزم باتفاق التحكيم والعقد. وفي هذا الشأن، يسُوقُ المحكمُ قرارَ التحكيم المؤقت رقم ×××× المؤرخ ×× سبتمبر 1982 الصادر من غرفة التجارة الدولية، الذي يعوّل عليه المدعي والذي قضت فيه محكمة الاستئناف بباريس في قرارها المؤرخ ×× أكتوبر 1983 برفض الدفع بعدم اختصاص هيئة التحكيم وقررت الآتي: "بعد التفسير المستقل للعقد والمستندات المتبادلة بين الأطراف خلال مرحلة التفاوض والفسخ، قرر المحكمون بناء على أسباب وجيهة ومتلاقية ووفقًا للإرادة المشتركة بين جميع الشركات المعنية أن "الشركة أ" و"الشركة ب" كانتا طرفين في هذه العقود رغم عدم توقيعهما توقيعًا فعليًا عليها، وعليه يسري بند التحكيم عليهما هما الأخريان." كما قضت محكمة الاستئناف أيضًا بأن "بند التحكيم الذي قَبِلَتْه صراحة بعض شركات المجموعة يجب أن يكون ملزمًا للشركات الأخرى التي يتضح أنها أطراف حقيقية في هذه العقود المتضمنة للبنود المذكورة أو أنها مرتبطة بها ارتباطًا أصيلًا وبالمنازعات التي قد تنشأ عنها وذلك بحكم دور هذه الشركات في إبرام هذه العقود أو أدائها أو فسخها ووفقًا للإرادة المشتركة بين أطراف الدعوى كافة."
ولما كان ما سبق، فيجب على المحكم أن يحلل المنازعة في ضوء الأحوال والظروف وأن يقرر هل يترتب على تصرف الطرف غير الموقّع في هذا السياق ارتضائه الالتزام باتفاق التحكيم أم لا.
