The Foundation for Democratic Advancement (FDA) is an international independent, non-partisan democracy organization. The FDA’s non-profit mission is to measure, study, and communicate the impact of government processes on a free and democratic society.
Measurement:
The FDA measures the impact of democratic processes through rigorous research combined with team audit using matrices and grade scales. All the FDA research is sourced, and the sources are transparent to the public. The FDA audit methodology, which is under copyright, is clearly explained in all reports. The FDA reports are reviewed both internally and externally by experts in the field. In addition, the FDA is transparent about its methodological assumptions, and is open to amending them subject to sound reasons and evidence to do so. The FDA increases its expertise of the impacts of government processes on a free and democratic society through its research, study of the subject, and communication with people on the subject. Overall, the FDA works to ensure that people become more knowledgeable about the outcomes of government processes and can then make more informed decisions.
Who We Are:
The Foundation for Democratic Advancement is comprised of experts in the fields of education, finance, public policy, political science, and international affairs, and other professional and educational backgrounds such as marketing, engineering, law, environmental science, architecture, and business. In addition, the FDA’s members and volunteers have diverse ethnic backgrounds such as African, South American, North American including Mexican, European, Asian, and Middle Eastern and balanced gender representation.
Funding:
To maintain its independence and objectivity, the FDA only accepts donations and grants from individuals and organizations that do not compromise its independence, non-partisanship, and objectivity.
To ensure its objectivity and independence, the FDA does not conduct privately paid research. However, if you or your organization has an important research idea or are aware of an important issue on the impact of government processes on a free and democratic society, the FDA is available to listen to your idea or issue and possibly research it and write a report on it. Mr. Stephen Garvey, founder, FDA Executive Director, and Director of Research and Project Initiative.
Mr. Garvey has been with the FDA since 2007. He has spearheaded numerous FDA projects and initiatives. He has a Bachelor of Political Science from the University of British Columbia and a Master of Philosophy in Environment and Development from the University of Cambridge. Also, Mr. Garvey has written books on political theory and decision-making. Mr. Garvey has an interest in the role of audit and evaluative processes in the functioning of society.
Mr. Dale Monette, FDA Director of Finance.
Mr. Monette has over 6 years of experience as an entrepreneur and over 3 years of experience in finance and accounting. He has a Bachelor of Commerce from the University of Saskatchewan and is currently undergoing his Master of Professional Accounting. Mr. Monette has a passion for democracy, and he realizes fundamentally that democracy requires attention and work by citizens.
Mr. Aurangzeb Qureshi, FDA Director of Marketing.
Mr. Qureshi has worked in a marketing and communications capacity in diverse industries such as health care, chemicals, technology, and utilities. With a passion for international politics, he joined the FDA in 2010 and has since helped the FDA raise its profile in Canada and abroad. Mr. Qureshi is also a freelance writer, and his work has appeared in publications such as the Edmonton Journal, The Canadian Charger, Al-Arabiya English and AntiWar.com.
Ms. Lindsay Tetlock, Associate Director
Ms. Tetlock has a Bachelor of Arts in International Relations and a Masters in Historical Studies, and she has a passion for democracy and human rights. Ms. Tetlock applies her experience to FDA research and audits in which she is a senior researcher and experienced process auditor. She joined the FDA in 2010, and she has shown unwavering commitment to the FDA cause
Memorandum of Association
1. The name of the Organization is the Foundation for Democratic Advancement.
2. The Foundation for Democratic Advancement is a public non-profit organization.
3. The registered office of the Organization is in Calgary, Alberta.
4. The activities of the Organization are to be carried out in Canada and in any other country if such activities further the objectives of the Organization.
5. The object of the Organization is:
A. to measure, study, and communicate the impact of government processes on a free and democratic society;
6. All activities of the Organization will be exclusively for non-profit purposes as set out by the Organization’s three objects.
7. The Organization will deliver public benefit by providing rigorous research and educational knowledge derived from using comprehensive methodological tools.
8. The liability of the members is limited.
9. All profits and income will be used to promote the Organization’s objectives. No dividends will be paid to members.
10. Members undertake to contribute to the assets if it is wound up while they are members, or within a year to their leaving the Organization. This contribution is to be used to pay any debts and liabilities that the company had before they ceased to be members. The contribution is also to be used to pay any costs, charges, and expenses of winding-up, and for adjustment of the rights of the contributors. This amount may not exceed $1.00.
11. In addition, if the Organization is to be wound up or dissolved, the assets of the Organization are first to be used to satisfy its debts and liabilities. Any balance of assets remaining can not be distributed among the Members of the Organization. Instead any such remaining balance will be transferred to a charitable or non-profit organization having objects similar or compatible with the objects of the Organization which organizations will prohibit the distribution of its, or their, income among Members to an extent at least as great as is imposed on the Organization under this clause. Distribution of any balance remaining will be determined by the Directors at or before the time of winding up or dissolution. If the assets are not transferred they will be held for charitable purposes. This clause may only be changed by the unanimous vote of all Directors.

BYLAWS OF THE FOUNDATION FOR DEMOCRATIC ADVANCEMENT
ARTICLE I – NAME, PURPOSE
Section 1: The name of the organization shall be the Foundation for Democratic Advancement (FDA).
Section 2: The FDA is organized exclusively for non-profit, non-partisan scientific and educational purposes, more specifically to measure, study, and communicate the impact of government processes on a free and democratic society.
ARTICLE II – MEMBERSHIP
Section 1: Membership shall consist of individuals active in advancing the FDA non-profit mission. Currently, there is no membership due.
Section 2: FDA members and volunteers are disallowed to participate in any FDA event on the condition of anonymity.
ARTICLE III – ANNUAL MEETING
Section 1: Annual Meeting. The date of the regular annual meeting shall be set by the Board of Directors who shall also set the time and place.
Section 2: Monthly Meeting. The date of monthly meeting shall be set by any of the Board of Directors who shall also set the time and place.
Section 3: Special Meetings. Special meetings may be called by the Chair or the Executive Committee.
Section 4: Notice. Notice of each meeting shall be given to each member and volunteer by email not less than two days before the meeting.
ARTICLE IV – BOARD OF DIRECTORS
Section 1: Board Role, Size, Compensation. The Board is responsible for overall policy and direction of the FDA, and day-to-day operation, and delegating responsibility for assistance with day-to-day operations to the members and volunteers. The Board shall have up to six members and not fewer than three members. The board receives no compensation other than for reasonable expenses in advancing the FDA charitable mission.
Section 2: Meetings. The Board shall meet at least once a year at an agreed upon time and place.
Section 3: Board Elections. Election of new directors will occur as the first item of business at the annual meeting of the corporation. Directors will be elected by a majority vote of the current directors.
Section 4: Terms. All Board members shall serve 1 year terms, but are eligible for additional terms.
Section 5: Quorum. A quorum must be attended by at least 50 percent of the Board members before business can be transacted or motions are made or passed.
Section 6: Notice. An official Board meeting requires that each Board member have written notice one week in advance.
Section 7. Officers and Duties. There shall be five officers of the Board consisting of various positions within the marketing, financial, social networking, technology, and research divisions of the organization. The officers shall be directed by the relevant Board of Director.
Section 8: Vacancies. When a vacancy on the Board exists, nominations for new members may be received from present Board members by the Executive Director two weeks in advance of a Board meeting. These nominations shall be emailed to Board members with the regular Board meeting announcement, to be voted upon at the next Board meeting. These vacancies will be filled only to the end of the particular Board member’s term.
Section 9: Resignation, Termination and Absences. Resignation from the Board must be in writing and received by the Executive Director. A Board member shall be dropped for excess absences from the Board if s/he has three unexcused absences from Board meetings in a year or for failure to fulfill his/her duties. A Board member may be removed for other reasons by a three-fourths vote of the remaining directors.
Section 10: Special Meetings. Special meetings of the Board shall be called upon the request of the Executive Director or one-third of the Board. Notices of special meetings shall be emailed by the Executive Director to each Board member postmarked two weeks in advance.
ARTICLE V – COMMITTEES
Section 1: The Board may create committees as needed, such as fundraising, marketing, etc. The Executive Director approves all committee chairs.
Section 2: The officers serve as extensions of the Board of Directors. Except for the power to amend the Articles of Incorporation and Bylaws, the officers shall have all of the powers and authority of the Board of Directors in the intervals between meetings of the Board of Directors, subject to the direction and control of the Board of Directors.
Section 3: Finance Division. The Director of Finance is chair of the Finance Division. The Finance Division is responsible for developing and reviewing fiscal procedures, a fundraising plan, and annual budget with staff and other Board members. The Board of Directors must approve the budget, and all expenditures must be within the budget. Any major change in the budget must be approved by the Board. The fiscal year shall be the calendar year. Annual reports are required to be submitted to the Board showing income, expenditures and pending income. The financial records of the organization are public information and shall be made available to the membership, Board members and the public.
ARTICLE VI – FINANCES
Section 1: FDA donations are deposited, upon receiving them, into a FDA savings account at the HSBC.
Section 2: The expenditure of FDA donations and other monies requires the unanimous consent of all FDA directors. In the event a FDA director is ill or incapacitated, then the unanimous consent of all other directors is required.
ARTICLE VI – AMENDMENTS
Section 1: These Bylaws may be amended when necessary by a two-thirds majority of the Board of Directors. Proposed amendments must be submitted to the Executive Director to be sent out with regular Board announcements.

Felmérés:
FDA a demokratikus folyamatok hatását aprólékos kutatás és csoport audit, valamint a minőségi skála mértékei szerint méri fel. CIKK IV – IGAZGATÓSÁG
1. Rész: Az igazgatóság feladata, mérete, költségtérítés. Az igazgatóság felelős mindenért, a szabályzatért és az FDA irányelveiért, a minden napi működésért, kijelöli a felelőst a tagok és az önkéntesek támogatására a mindennapi tevékenységekben. Az igazgatóságnak hat tagja lehet maximum és nem kevesebb mint három tagja. Az igazgatóság csak olyan esetben kap költségtérítést, amikor igazoltan és előreláthatóan előmozdítja az FDA jótékonysági küldetésének megvalósítását.
2. Rész: Értekezletek. Az igazgatóság legalább egy évben egyszer ül össze a megegyezett helyen és időben.
3. Rész: Az igazgatóság megválasztása. Az új igazgatók megválasztása az első pont a szervzet éves közgyűlésén. Az igazgatókat a jelenlegi igazgatók többségi szavazásával választják meg.
4. Rész: Időszak. Minden igazgatósági tag 1 éves időszakot szolgál, de további időszakra megválasztható.
5. Rész: Határozathozatal. A határozathoztalhoz legalább a testület 50 százalékának jelen kell lenni, hogy döntésképes legyen és a választás valós legyen és az indítványt elfogadhassák.
6. Rész: Értesítés. A hivatalos igazgatósági üléséhez minden testületi tagnak legalább egy héttel az ülés előtt értesítést kell küldeni.
7. Rész: Hivatalnokok és feladatok. Öt hivatalnoki pozíciót lesz az igazgatóságban, a szervezet különböző pozícióit a marketing, pénzügyi, szociális networking, technológia, és a kutatás területén töltik be a hivatalnokok . A hivatalnokok az utasításokat a megfelelő igazgatótanács igazagatójától kapják.
8. Rész: Betöltendő állás. Amikor betölthető állás van a testületben, a jelöléseket az új tagokra a jelenlegi igazgatósági tagok adják be a vezérigazgatón keresztül, ezt meg kell tenni két héttel az igazgatósági ülés előtt. A jelöléseket az igazgatósági tagoknak emailben kell eljuttatni az általános testületi ülési közleményeivel együtt, és a következő ülésen kell szavazásra bocsájtani. Ezek a pozíciók addig lesznek érvényesek, amig a helyettesitett testületi tagok tagsága fennállt volna.
9. Rész: Lemondás, megszünés, távollét. Lemondást az igazgatóságból, írásban kell bejelenteni a vezárigazgatónak. Az igazgatósági tagot ki kell zárni az igazgatóságból, ha a hiányzás meghaladja a megengedett napokat és egy év allatt három igazolatlan hiányzása van az igazgatósági ülésről, vagy nem végezte el a kijelölt feladatát. A tagot el lehet távolítani más okból is ha a tagok háromnegyede egyetért ezzel.
10. Rész: Rendkiívüli ülés. Rendkivüli ülést az igazgatóság a vezérigazgató kérésére hívhat össze, vagy a tagok egyharmadának kérelmére. A vezérigazgató fogja a rendkivüli ülés értesitőt emailben elküldeni a tagoknak, két héttel a találkozó előtt.
CIKK V – BIZOTTSÁGOK
1. Rész: A testület bizottságokat alkothat, ha szükséges pénzügyi adományok gyüjtése, marketing és egyéb célokra. A vezérigazgató fogja jóváhagyni a bizottság vezetőit.
2. Rész: A tagok az igazgatósági tagokhoz hasonló jogokkal rendelkező pozícióban vannak. Kivéve a szervezet cikkejeit és a cég szabályzatainak megváltoztási jogát. A tagok ugyanazokkal a jogokkal vannak felhatalmazva,mint az igazgatósági tagok a két igazgatósági ülés közötti időszakban, amely jogok az igazgatósági tagok irányvonalaitól és meghatározásától függ.
3. Rész: Pénzügyi rész. A pénzügyi igazgató vezeti a pénzügyi részleget. A pénzügyi részleg felelős a költségvetési eljárások kidolgozásáért és ellenőrzéséért, az adománygyüjtési tervért és az évi költségvetésért, a tagokkal és más igazgatósági tagokkal együtt. Az igazgatósági tagok fogják a hozzájárulásukat adni a költségvetéshez, a költségeket a megfelelő határokon belül kell tartani. Minden fontos változtatást az igazgaság hagy jóvá. Az adó idöszak kalendári év szerint határozott meg. Az éves riportot az igazgatóságnak kell benyújtani, és ki kell mutatni a bevételt, kiadásokat és a várható bevételeket.
