Source text - French 15 – RESILIATION
Dans le cas de manquement de l’une des Parties à l’autre quelconque des obligations résultant du Contrat, l’autre Partie pourra la mettre en demeure, par lettre recommandée avec accusé de réception, et demander de réparer ce manquement dans un délai maximum de trente (30) jours calendaires.
Si, à l’issue de ce délai de trente (30) jours calendaires, le manquement n’a pas été réparé, l’autre Partie pourra prononcer de plein droit la résiliation du Contrat, par lettre recommandée avec accusé de réception, sans préjudice de tous les dommages et intérêts auxquels elle pourrait prétendre.
En cas de défaillance de l’une des Parties (règlement ou liquidation judiciaire) ou de fusion, rachat par un tiers de la majorité des titres composant le capital social ou du fonds de commerce, le Contrat pourra être résilié par l’autre Partie dans les conditions ci-dessus, sans indemnité, la Partie en cause devant alors respecter l’article 16 ci-après.
16 – CONSEQUENCES DE L’EXTINCTION DU CONTRAT
Nonobstant les dispositions des articles 12 ci-avant (Obligation de loyauté) et 20 ci-après (Non sollicitation de personnel), en cas d’extinction ou de résiliation du Contrat pour quelque raison que ce soit :
{109}Le Partenaire {110}devra restituer à MJW Consultancy tous documents, toutes données et tout support informatique ou de formation que cette dernière a pu lui communiquer quel que soit le support,{111}
{112}Le Partenaire {113}renonce à revendiquer un quelconque droit sur les Prospects ou une quelconque indemnité compensatrice au titre de l’extinction du Contrat,{114}
S’agissant des missions en cours d’exécution, chaque Partie devra communiquer sans délai à l’autre Partie toutes les informations lui permettant des continuer l’exécution de ces missions dans les meilleures conditions.
Translation - English 15- TERMINATION
In the event of failure by one of the parties to perform any of the obligations under the contract, the other Party may give that Party formal notice, by registered letter with acknowledgement of receipt and require that the breach be remedied within a maximum of thirty (30) calendar days.
If, after the expiry of this period of thirty (30) calendar days the breach has not been remedied, the other Party may terminate the contract ipso jure by registered letter with acknowledgement of receipt without prejudice to any damages and interests that it may be entitled to.
In the event of failure of one of the parties (legal receivership or liquidation), a merger, or third party buyout of the majority of shares that make up the share capital or business, the Contract may be terminated by the other Party according to the conditions above, without compensation, with respect to article 16 below.
16- EFFECTS OF TERMINATION OF THE CONTRACT
Notwithstanding the provisions of articles 12 (Duty of Loyalty) and 20 below (Non-Solicitation of Employees) in the event of termination of the Contract on whatever grounds:
{109}The Partner {110} must return to MJW Consultancy any documents, data, digital media and training material that the latter provided, whatever the medium, {111}
{112}The Partner {113} shall abandon its claim for any right over potential clients or any compensation resulting from the termination of the contract, {114}
With respect to ongoing tasks, each Party shall immediately communicate to the other Party all information allowing it to continue to perform these tasks under the best possible conditions.

Au cours de l’année dernière, vous avez levé des options sur actions « Société » issues du plan 2009-2013 et avez ainsi dégagé un gain de levée d’option (ou plus-value d’acquisition).
L’imposition de ce gain doit être répartie, le cas échéant, entre les différents Etats où vous avez exercé votre activité salariée durant la période d’indisponibilité des options. Cette répartition est établie par votre employeur, au prorata des périodes d’activité exercées dans chacun des Etats. In the past year, you exercised "Company" stock options issued for 2009-2013 and thereby realised a gain from exercising these options (or gain on acquisition).
Taxation of this gain must be divided, if necessary, between the different countries where you were an employee during the vesting period of the stock options. This division is carried out by your employer on a pro rata basis for the periods of employment in each country. It should be noted that the proportion of the French gains has been declared to the French Tax Administration by means of an individual statement (proof to be kept in your archives and produced in the event of audit by the Tax Administration and/or if necessary to be sent to your regional tax authority):
The proportion of the French gain corresponds to the share of the gain acquired in exchange for your activity in France during the vesting period (2009-2013). This French gain must be declared and taxed for the year you acquired shares by the exercise of your options.

Source text - French Fondée en 1984, l’asbl Grand-Hornu Images est devenue un centre de design d’envergure internationale. Un lieu d’exposition, de conservation et d’étude d’un domaine de la création contemporaine en perpétuelle évolution. Un terrain où convergent innovation, esthétique, technique, poésie et recherche. Riche d’une longue histoire, Grand-Hornu Images fête ses 30 ans une année thématique qui interroge les thèmes de l’héritage et de la transmission. Quelles sont les stratégies à mettre en place pour assimiler l’héritage de ce lieu chargé d’histoire et le projeter vers le futur ? Comment honorer la mémoire en lui donnant un second souffle ? Que signifie la transmission dans le secteur de l’innovation, de la création, du savoir-faire? Divers événements seront programmés dans le cadre de cette réflexion : un colloque sur ces thématiques à la portée universelle, des rencontres transversales avec des personnalités de domaines variés qui partagent ces questionnements, des publications et… un changement de nom. En effet, l’appellation Grand-Hornu Images n’est plus représentative des activités portées par l’association et de sa spécificité reconnue dans le champ du design. Une méthodologie sera mise en place dès le début de l’année pour préparer ce changement de nom qui sera dévoilé au public dès le mois de septembre.
Translation - English Founded in 1984, Grand-Hornu Images asbl has become an international design centre. An exhibition centre, a site for conservation and for the study of a creative field that is constantly changing. A site where innovation, aesthetics, technology, poetry and research come together. With a rich history, Grand-Hornu Images is celebrating its 30th anniversary with a thematic year which examines the themes of heritage and transmssion. What strategies should be put in place in order to understand the heritage of this historically rich site and project it into the future? How should its memory be honoured by giving it a new lease of life? What does transmission mean in the areas of innovation, creation and knowledge? Several events will be programmed around these ideas : a discussion on these universal themes, cross-disciplinary meetings with figures from diverse fields who share these questions, publications and… a change of name. Indeed, the name Grand-Hornu Images is no longer representative of the association’s activities and its renowned expertise in the field of design. A methodology will be put in place from the start of the year in order to prepare this name change, which will be revealed to the public from September.
