Message from the Supervisory Department of Corporate Sustainability
With a predominantly renewable energy matrix, there is an intrinsic relationship between XXXX and natural resources. The Company’s operations cover two terrestrial hotspots (highly threatened areas that are biologically very important to the entire planet): Cerrado and Atlantic Forest as well as an aquatic environment where we are responsible for the management of 2,148.5 km² of fresh water in our reservoirs.
Recognizing, evaluating and responsibly managing environmental impacts in the design, implementation and operation phases of enterprises are processes that XXXX has improved since the company’s founding. Thus, there is synergy between the research, innovation, and practice of solutions, which aligned with competence, add value to the company and biomes where we operate.
The company works in distinct businesses, and for each enterprise, specialized studies are conducted to characterize, evaluate and establish environmental programs aimed at the mitigation, compensation and control of negative impacts while maximizing the positive ones, according to their nature.

In the XX years since XXXX was founded, the company has become recognized nationally and internationally and become a reference in the electricity sector in all areas of operation.
The XXXX brand is a reference of quality for all of society. In addition, within the context of the environment and sustainability, XXXX is a pioneer with a robust portfolio of achievements, which make it one of the leading companies in the world as shown by its 15th consecutive year in the Dow Jones Sustainability World Index and 9th consecutive year in the Corporate Sustainability Index - ISE/BM&FBOVESPA.
Even before environmental legislation was implemented in Brazil, XXXX had already been developing actions related to environmental protection and biodiversity such as projects to rescue fauna when filling reservoirs and the voluntary deployment of conservation areas like Peti, where environmental studies and methodologies have been developed in collaboration with professors from various institutions, and today, form the basis for generating knowledge adopted in environmental licensing.

CLÁUSULA SEXTA – FORMA DE PAGAMENTO
6.1 — Os pagamentos devidos serão efetuados pela XXXXX, por meio de boleto de cobrança emitido por instituição bancária (modalidade de cobrança simples e registrada no padrão “CNAB240”) em nome da CONTRATADA, cujo vencimento se dará no 30° (trigésimo) dia, contado da data de medição dos serviços, desde que a CONTRATADA apresente, até o 8° (oitavo) dia útil após a data de medição dos serviços, os documentos de cobrança (nota fiscal e/ou fatura) indispensáveis à regularidade do pagamento.
6.1.1 — Eventualmente, os pagamentos poderão ser efetuados por meio de depósito em conta-corrente da CONTRATADA.
6.1.2 — A apresentação do documento de cobrança fora do prazo previsto no item 6.1 ou em desconformidade com as disposições do item 6.1.4 implicará o adiamento do pagamento por período idêntico ao do atraso na entrega da referida documentação.
6.1.3 — Nenhum faturamento da CONTRATADA será processado sem que tenha sido previamente emitido o respectivo Relatório de Medição.
6.1.4 — Nas faturas deverão constar obrigatoriamente, além da data de assinatura deste Contrato, as seguintes informações:
• O número do instrumento contratual
• O número do Relatório de Medição
• O nome e código do Banco
• Agência, código e endereço
• Número da conta corrente da CONTRATADA.
6.1.4.1 — Sempre que for apresentada fatura com informações bancárias diferentes daquelas indicadas por força do item 6.1.4, estas alterações só serão consideradas se acompanhadas de comunicação formal da CONTRATADA e somente prevalecerão para o fim específico deste pagamento.
6.1.4.2. — Não há remuneração pelo transcurso de prazo necessário ao pagamento das faturas.
6.2 — Fica assegurado à XXXXX o direito de deduzir do pagamento devido à CONTRATADA, por força deste Contrato ou em outro contrato mantido com a XXXXX, comunicando-lhe, em qualquer hipótese, a decisão, com antecedência de cinco dias úteis, por escrito, importâncias correspondentes a:

6.2.1 — Todos os débitos a que tiver dado causa, notadamente multas de qualquer espécie e os decorrentes de obrigações tributárias, previdenciárias e trabalhistas, acrescidos de consectários;
6.2.2 — Despesas relativas à correção de falhas; 6.2.3 -- Dedução relativa a insumos de sua responsabilidade não fornecidos; 6.2.4 — Utilização de materiais ou equipamentos da XXXXX cujo fornecimento seja obrigação da CONTRATADA.
6.2.5 -- Caso a XXXXX realize retenções/deduções nas faturas da CONTRATADA que, posteriormente, verifiquem-se incorretas ou em desacordo com o determinado neste Contrato, os valores incorretamente retidos deverão ser devolvidos no prazo de 05 (cinco) dias úteis, contados da conclusão do procedimento interno da XXXXX que reconhecer a realização de retenções/deduções indevidas, atualizado monetariamente com base no IPCA (índice Nacional de Preços ao Consumidor Amplo), pro rata die.
6.3 — Os valores dos preços básicos e dos complementos deverão constar de modo destacado, em um único documento de cobrança.

CLAUSE SIX - PAYMENT METHOD
6.1 — Payments due will be made by XXXXX via bank payment slip (simple billing and “CNAB240” registered billing) in the name of the CONTRACTOR. The payment slip expires 30 (thirty) days after the measurement date, as long as the CONTRACTOR submits the billing documents (tax receipt and/or invoice) required for payment within 8 (eight) business days after the measurement date.
6.1.1 — Occasionally, payments may be made via bank deposit into the CONTRACTOR’s checking account.
6.1.2 — If the billing document is submitted after the period specified in item 6.1 or in noncompliance with the provisions of item 6.1.4, the payment will be postponed by a period equal to the delay in the submission of the referred documents.
6.1.3 — CONTRACTOR billing will not be processed if the respective measuring report has not been issued first.
6.1.4 — Invoices are required to include the signature date of this agreement as well as the following information:
• The agreement number
• The measurement report number
• The bank name and code
• Branch code and address
• CONTRACTOR’s checking account number.
6.1.4.1 — Whenever the bank information on an invoice is different from the information in item 6.1.4, these changes will only be considered if accompanied with a formal notice from the CONTRACTOR and shall only prevail specifically for this payment.
6.1.4.2. — There is no compensation for late payment of invoices.
6.2 — XXXXX is assured the right to deduct from the payment due to the CONTRACTOR under this agreement or any other agreement with XXXXX by giving notice in writing, in any case, of the decision at least 5 business days in advance, for amounts corresponding to:

6.2.1 — All debts incurred by the CONTRACTOR, notably fines of any kind including tax, social security and labor obligations, in addition to late payment charges;
6.2.2 — Expenses related to fault correction

6.2.4 — Use of materials or equipment owned by XXXXX that are under the obligation of the CONTRACTOR to supply.
6.2.5 — In the event XXXXX makes withholdings / deductions from the CONTRACTOR’s invoices that are subsequently verified to be incorrect or in violation of the terms of this agreement, the amounts withheld incorrectly will be returned within a period of 5 (five) business days after the completion of the XXXXX internal procedures that acknowledge the undue withholdings / deductions, which shall be adjusted for inflation based on the IPCA (Extended National Consumer Price Index), pro rata die.
6.3 — The amounts for basic prices and complements should be listed in bold print in a single billing document.
