The object of this contract is the sale by ZZZ to (THE DISTRIBUTOR) of R branded lubricating oils and ancillary products, as defined in Appendix II, for the purpose of their subsequent commercialisation and resale to the final user within the territory defined in the Second Clause.
SECOND
The geographical area of the commercial activity stipulated by the First clause will be restricted to (The Country) wherein (THE DISTRIBUTOR) will operate as exclusive vendor of R products, as defined by Appendix II, except with regard to such clients as are either subsidiaries of the R Group or are currently, or may in future be, linked to any of the R Group companies by means of a multinational contract.
ZZZ will periodically supply (THE DISTRIBUTOR) with detailed and up-to-date information regarding such clients as are excluded from this contract.
THIRD
Throughout the term of this contract (THE DISTRIBUTOR) is obliged to buy the products as defined by Appendix II exclusively from ZZZ These products may not be bought from any other supplier.
Translation - Russian СТАТЬЯ ПЕРВАЯ
Целью настоящего контракта является продажа компанией ZZZ (ДИСТРИБЬЮТОРУ) смазочных масел и сопутствующих товаров, носящих брэнд R, согласно списку, приведенному в Приложении II, с целью их дальнейшей коммерциализации и перепродажи конечному потребителю на территории, определенной в статье второй.
СТАТЬЯ ВТОРАЯ
Географический регион коммерческой деятельности, установленной в статье первой, ограничивается (Страной), где (ДИСТРИБЬЮТОР) будет работать как эксклюзивный продавец товаров R, согласно Приложения II, за исключением тех клиентов, которые являются или дочерними компаниями группы R Group, или уже являются клиентами группы, или же в будущем могут быть связаны с любой компанией группы компаний R Group международными контрактами.
Компания ZZZ будет периодически снабжать (ДИСТРИБЬЮТОРА) детальной и обновляемой информацией о таких клиентах, которые являются исключением из настоящего контракта.
СТАТЬЯ ТРЕТЬЯ
В период действия настоящего контракта (ДИСТРИБЬЮТОР) обязан покупать товары, указанные в Приложении II эксклюзивно только у компании ZZZ. Такие товары не могут закупаться у каких-либо других поставщиков.
