Source text - Spanish 39. PERIODO DE CONTRATACIÓN:
El PM se compromete a iniciar este servicio inmediatamente después de la notificación de la orden de proceder.
La presente contratación tendrá una duración de cinco (5) años, con opción de hasta dos (2) años prorrogables a solicitud de la Entidad Contratante, cumpliendo con las formalidades que exige la Ley, en cuyo caso, el PM y la Entidad Contratante negociarán de buena fe sobre la ampliación del Valor del Contrato en términos generalmente similares a los costos de este contrato más el ajuste correspondiente por inflación, así como los términos y condiciones que sea necesario establecer para la efectiva ejecución de la referida prórroga
Con la terminación del contrato se darán por terminados los derechos y obligaciones de las Partes conforme al mismo, excepto por aquellos derechos y obligaciones de las Partes que, bien sea por su naturaleza o por haberlo acordado expresamente las Partes, deberán continuar vigentes después de la terminación del Contrato, incluyendo las obligaciones por garantía e indemnización que debe cumplir el PM.
40. REEMPLAZO DEL PERSONAL DE LA GERENCIA DE PROYECTO:
Las partes convienen que el personal clave que se indica en la Propuesta del PM y sus
experiencias respectivas son esenciales para la prestación de los servicios de este Contrato.
En consecuencia, el PM se compromete a que este personal estará disponible durante el tiempo necesario y en las fases requeridas de acuerdo a lo indicado en su oferta y requerimientos mínimos establecidos en este pliego.
En el supuesto caso que cualquiera de este personal clave dejaré de prestar servicios para el PM, éste deberá inmediatamente informar a la Entidad Contratante de dicha situación, y procederá inmediatamente a reemplazar a dicho personal con otro de conocimiento y experiencia comparables o mayores dentro de un periodo de 15 días calendario a partir de la notificación por escrito a la Entidad Contratante.
La Entidad Contratante tendrá el derecho a aceptar el reemplazo o rechazarlo.
En caso de rechazo el PM deberá inmediatamente ubicar otro personal, que estará sujeto a aprobación o rechazo por parte de la Entidad Contratante.
El PM es responsable de la exactitud y veracidad de la información contenida en cualquier documento de antecedentes personales que presente a la Entidad Contratante, ya sea antes de la celebración de este Contrato o en cualquier momento en que se efectúe, si por cualquier razón se da el reemplazo a alguna de dichas Personas.
En caso del personal clave, la falta de reemplazo dentro de los términos estipulados por el Pliego de Cargos o el contrato podrá resultar en el incumplimiento del contrato.
Además, durante la ausencia del personal clave por vacaciones o enfermedad o por licencia de índole personal, el PM deberá reemplazar al mismo de manera temporal con personal que cumpla con las calificaciones mínimas establecidas en el Pliego de Cargos.
Dicho reemplazo temporal de personal también deberá ser aprobado o rechazado por escrito por la Entidad Contratante.
La Entidad Contratante tendrá derecho a solicitar el reemplazo o la remoción de cualquier personal del PM si considera que dicho personal no cumple con las obligaciones de sus funciones o no cumple dichas funciones con la efectividad o eficiencia que requiere la dinámica de ejecución del proyecto, o por actos de negligencia o errores u omisiones cometidas por el personal y el PM tendrá la obligación de reemplazar este personal en un periodo máximo de quince (15) días calendario a partir de la notificación por escrito de la Entidad Contratante.
Translation - English 39. CONTRACT DURATION
The PM is committed to immediately begin with the project after receiving word of the order to proceed.
The present contract will last five (5) years and carries a two (2) year renewable option upon request of the contracting company in compliance with the formalities required by law, in which case the PM and the contracting company will negotiate the value of the contract extension, in good faith, including adjustments for inflation as well as adjustments in the terms and conditions deemed necessary for an effective extension of the contract.
With the completion of the contract, the terms and obligations of the parties involved in the agreement shall be considered terminated, except for those rights and obligations applicable after termination, including warranty and compensation obligations held by the PM.
40. REPLACEMENT OF PM PERSONNEL
The parties agree that the key personnel indicated in the PM’s Proposal and their respective experiences are essential for the provision of the services named in this contract.
Consequently, the PM agrees that said personnel will be available at the appropriate time for the required stages mentioned and agrees to the minimum requirements set forth in this Tender Terms and Conditions.
In the event that any of these key personnel cease to provide their services for the PM, the PM should immediately inform the contracting company about the situation and immediately replace said personnel with personnel of equal or greater knowledge and experience, all within a period of 15 calendar days after providing written notice to the contracting company.
The contracting company shall have the right to accept or reject the replacement.
In the event of a rejection of a replacement, the PM is to immediately find other personnel, which are subject to approval or rejection by the contracting entity.
The PM is responsible for verifying the accuracy and truthfulness of any documentation of background information submitted to the contracting company, be it before the signing of this agreement or in any moment after it takes effect, should any reason to replace personnel arise.
In the case of the aforementioned key personnel, a failure to make a replacement within the terms stipulated in this agreement may result in a breach of the contract.
Additionally, in the case of any temporary absence or illness among the key personnel, the PM shall assign temporary replacements to meet the minimum qualifications set out in the list of responsibilities.
Said temporary replacement of personnel shall also be submitted for approval or rejection by the contracting company.
The contracting company reserves the right to request the replacement or removal of any of the PM’s personnel that they feel does not fulfill their obligations, or does not fulfill said obligations to the degree of effectiveness required by the dynamics of the project, or through acts of negligence or error or omission committed by the personnel, in which case the PM is in charge of replacing this personnel within a maximum period of fifteen (15) calendar days following written notice to the contracting company.

Using Better than Chocolate Music Edition
Music Mode:
Push power button on.*
*LED glows when the unit is on.
Connect iPod & ear buds to transmitter and select desired listening volume on iPod/mp3 player.
-OR-
Connect transmitter to "AUX-In" on speaker or stereo system.
Turn on transmitter using dial. LED automatically glows purple indicating massager is in music mode.
Adjust dial to manage massager’s sensitivity/intensity to music.
Find the sweet spot where music & massage come together.
Manual Program Mode:
Touch slider on and hold for at least 2 seconds to switch to the next vibration pattern.
There are 4 pre-programmed patterns in all.
NOTE: When transmitter is turned on during manual mode use and the user touches and holds, the massager will cycle through the 4 pre-programmed vibration patterns and then will cycle to music mode.
Music mode will be indicated by a purple LED glow.
Move your finger over the slider to control the intensity of the vibrations.
Touch and hold the front of the slider for 2 seconds to lock the vibration intensity and pattern.
Lock is indicated by a red light.
NOTE: When submersed in water, touch slider will not accept commands, but the massager will continue to operate.
To unlock it, dry off the touch slider and follow step #2.
Light will no longer be red.
Travel & Storage Mode:
When not in use, push the on/off button.
Best for travel and storage.
Inserting Batteries
Requires 2 AAA batteries.
See diagram for battery placement.
To open the battery compartment, twist end cap to the left and remove (see diagram).
Slide in 2 AAA batteries according to markings in battery compartment.
Close battery compartment by twisting the end cap to the right until locked in place.*
*While closing, please mind the correct position of the end cap.
NOTE: For best performance, use branded high quality batteries.
Do not mix different brands or use new and old batteries together.
