§ 1
W ramach niniejszej umowy Y działając w imieniu X zrealizuje akcje marketingowe zgodnie z planem, który stanowi Załącznik nr 1 do niniejszej umowy.
§ 2
Y jest odpowiedzialny za przygotowanie, prowadzenie negocjacji i tworzenie wszystkich działań z Załącznika nr 1, co obejmuje następujące czynności:
1. Zlecenie realizacji kampanii reklamowych w mediach wymienionych w Załączniku nr 1
2. Przygotowanie lub dostosowanie istniejących projektów graficznych i banerów oraz terminowe dostarczenie ich do redakcji
3 Nadzór nad prawidłowym wykonaniem reklam i akcji promocyjnych przez strony trzecie
4 Przygotowanie kampanii promocyjnych i promocji sprzedaży u dystrybutorów,
5. Nadzór nad projektem graficznymi i treścią marketingową internetowego sklepu X
6.Nadzór nad płynnością finansową związaną z realizacją płatności dla stron trzecich: redakcji, dystrybutorów i innych podwykonawców
7 Profesjonalne wykonanie działań zawartych w Załączniku nr 1, z dbałością o ich jakość graficzną, poprawność merytoryczną oraz zgodność z identyfikacją wizualną Y
§ 3
Działania z Załącznika nr 1 mogą ulec wymianie na inne, w ramach założonego budżetu lub anulowaniu, o ile strony wyrażą na to zgodę pisemną.
§ 4
Y zobowiązuje się do następujących czynności:
1 Dostarczenie do X, do dnia 15 marca , 7 tysięcy katalogów produktów, przeznaczonych do realizacji akcji „Channel TV” z Załącznika nr 1
2 Dostarczenie do X, do dnia 15 lutego, elementów graficznych do wykonania projektu sklepu internetowego
3 Dostarczenie i pokrycie kosztu transportu produktów ekspozycyjnych i elementów stoiska wystawowego do akcji „Event. Y booth on PGA” z Załącznika nr 1
4 Dostarczanie X wzorów reklam, zdjęć, banerów i innych gotowych do wykorzystania materiałów graficznych
5 Terminowej realizacji płatności faktur wystawionych przez X , najpóźniej do 21 dnia od ich otrzymania
§ 5
Rozliczenia
1. Y wpłaci X zaliczkę na poczet w/w działań w wysokości 10 000 Euro jednorazowo na konto……………………………………..,, na podstawie faktury Pro-Forma, do dnia 1 marca 2010.
2. W/w zaliczka zostanie rozliczona najpóźniej z dniem zakończenia ostatniej akcji z Załącznika nr 1 do niniejszej umowy
3. Wszelkie koszty powstałe przy realizacji działań wymienionych w Załączniku nr 1 rozlicza ze stronami trzecimi X
4. Po wykonaniu każdego działania z Załącznika nr 1, X wystawi Y fakturę z terminem płatności 21 dni od daty otrzymania faktury
5. W/w faktury obejmują wszelkie koszty poniesione przez X związane z realizacją działań w danym okresie rozliczeniowym oraz marżę X w wysokości 5%
6. Załącznikami do faktur X wynikłych z realizacji niniejszej umowy będą kopie faktur i rachunków wystawionych przez strony trzecie oraz dokumenty potwierdzające wykonanie działań: kopie reklam, promocji , banerów, zdjęcia z imprez itp.
7. Papierowe wersje w/w dokumentów X dostarczy przedstawicielowi Y w Polsce
8. VAT od faktur kosztowych od stron trzecich będzie rozliczany przez X
§ 6
W przypadku niedotrzymania zobowiązań określonych w § 4, pkt. 5 X wstrzymuje dalszą realizację planu z Załącznika nr 1. Po uregulowaniu należności X kontynuuje realizację planu zgodnie z harmonogramem.
§ 7
Wszelkie zmiany w niniejszej umowie wymagają formy pisemnej.
Obie strony będą dążyć by ewentualne spory były rozstrzygane polubownie. W przypadku niemożności osiągnięcia porozumienia sprawę przedłożą do rozstrzygnięcia przed Sądem Powszechnym odpowiednim dla siedziby pozwanego. Orzeczenie Sądu strony uznają ostatecznie.
§ 8
Integralną częścią niniejszej umowy są: Załącznik nr 1 oraz dokumenty rejestrowe obu firm.
§ 9
Umowę sporządzono w dwóch jednobrzmiących egzemplarzach, po jednym dla każdej ze stron.

CONTRACT OF MANDATE NO. X/I/2010
concluded on 4 January 2010 by and between:
Y with its registered office in Rotterdam, Lichtenauerlaan 102, represented by John Mejier
and
X with its registered office in Warsaw at ul. Al. Jerozolimskie 28
represented by: Jan Nowak
§ 1
Under this contract X acting on behalf of Y will implement marketing actions in accordance with the plan, which is Schedule no. 1 to this contract.
§ 2
X is liable for arranging, negotiating and creating all the actions of Schedule no. 1, including the following:
1. Ordering implementation of advertising campaigns in media as mentioned in Schedule no. 1
2. Preparation or adaptation of the existing graphic designs and banners and their timely delivery to editors
3. Supervision over proper execution of advertisements and promotional actions by third parties
4. Preparation of promotional campaigns and sales promotion with distributors
5. Supervision over the graphic design and the marketing content of Y Internet shop
6. Supervision over the financial liquidity with respect to paying third parties, i.e: editors, distributors and other subcontractors
7. Professional performance of actions included in Schedule no. 1, with attention to their graphic quality, substantial correctness and compliance with Y’s corporate identity.
§ 3
Actions of Schedule no. 1 may be changed for others, within the agreed budget, or may be cancelled if parties consent to it in writing.

Y shall:
1. provide X with 7 thousand catalogues of products for implementation of the action „Channel TV” of Schedule no. 1, by 15 March
2. provide X with graphic components for performance of a design of the Internet shop by 15 February
3. provide with and cover transport cost of exhibition products and components of the exhibition stand for the action „Event.Y’s booth on PGA” of Schedule no. 1
4. provide X with samples of advertisements, photos, banners and other ready-to-use graphic materials
5. timely pay invoices issued by X, no later than by 21st day from their receipt
§ 5
Settlements
1. Y will pay X an advance towards the aforementioned actions in the amount of EURO 10 000, on a one-time basis, to the account of: …………………………………….., based on a pro forma invoice, by 1 March 2010
2. The aforementioned advance will be settled no later than on the date of completion of the last action of Schedule no. 1 to this contract
3. Any costs incurred at implementation of the actions specified in Schedule no. 1 will be settled between X and third parties
4. Upon completion of each action of Schedule no. 1 X will issue to Y an invoice specifying the date of payment for 21 days from the invoice’s receipt
5. The aforementioned invoices include any costs incurred by X with regard to implementation of actions in a given accounting period and X’s margin of 5%
6. Attachments to X’s invoices arising from execution of this contract will be copies of invoices and accounts issued by third parties and documents confirming performance of the actions, i.e.: copies of advertisements, promotions, banners, photos of events etc.
7. X will provide Y’s representative in Poland with hard copies of the aforementioned documents
8. X will settle VAT on invoices from third parties
§ 6
In the event of failure to comply with liabilities defined in § 4 item 5, X will cease further implementation of the plan of Schedule no. 1. Following the settlement of claims X will continue implementation of the plan according to schedule.
§ 7
Any changes to this contract shall be made in writing.
Both parties will make every effort to settle amicably any possible disputes. In the event of failure to do so, the case will be submitted for resolution by the common court of law with jurisdiction over the seat of the defendant. The Court’s verdict will be recognised by parties as final.
§ 8
Integral parts of this contract are: Schedule no.1 and registration documents of both companies.
§ 9
This contract has been executed in two counterparts, one for each party.

I have been translating and interpreting since 2002. In 2009, while working as a translator for legal offices, I completed postgraduate studies in legal & business translations.
