Source text - English 8. Declaration and Guarantees: Each party declares and guarantees that it has the faculty and authority to execute this Agreement, and it is not under any obligation or limitation that might interfere in the fulfillment of its obligations.
THE PRODUCER declares that it is the sole owner of all rights including fully cleared musical rights for Free Open-Air Television, Cable Television and Internet rights to license THE PROGRAM to third parties within the Territory, and that it has obtained all necessary consents from third parties required in order to enter into this Agreement. The exercise by xxxx of the rights herein granted shall not violate the rights of others, any court law, order or subject xxxx to any liability obligation whatsoever. THE PRODUCER agrees to indemnify and hold harmless xxxx from and against any and all claims, damages, liabilities, cost, loses and expenses suffered or incurred by xxxx as a result of or arising out of PRODUCER’s breach of any provision of this Agreement.
9. Termination and Cancelation. Any of the parties will be able to terminate this Agreement, if at any time a voluntary or involuntary petition of bankruptcy is filed by or against of any of the parties and is not dismissed within 30 days thereafter, or if any of the parties take advantage of any insolvency law or
receiver or trustee or if PRODUCER is not in capacity to fulfill its payment obligations; or if PRODUCER incurs in any material falsity or breaches any of the obligations stated in this Agreement.
In the event of cancellation or termination of this Agreement, the representation and all the rights granted to xxxx will revert to THE PRODUCER.
Once the Agreement is terminated for whatever cause, xxxx will continue to maintain the right to the commission percentage indicated in clause 4 of this Agreement resulting from the business carried out and achieved by xxxx.
10. Notices: Except as set forth below, all notices, requests, approvals, authorizations, directions, or other communications hereunder shall be in writing and will be deemed to have been delivered and given to the receiving party at its address set forth below or as otherwise designated by written notice.

En caso de resolución o cancelación del Contrato, la representación y todos los derechos otorgados a xxxx serán restituidos a la PRODUCTORA.
Tras la finalización del Contrato por el motivo que fuere, xxxx seguirá teniendo derecho a cobrar la comisión indicada en la cláusula 4 por los negocios y resultados obtenidos.
10. Source text - English 5. AD MATERIALS.
a. Submission. Advertiser shall submit Advertising Materials on the due date(s) established by Media Company, but in no event less than three (3) business days before the launch of the applicable Deliverable. Advertising Materials shall comply with the terms of this Agreement, the Policies and all written instructions provided by Media Company.
b. Review and Late Creative. If Media Company is to provide the preview of a Deliverable or Media Company Materials, Advertiser shall advise within two (2) business days upon receipt thereof. Advertiser shall have one (1) round of review and approval (which consists of the original submission plus one revision). If Advertiser fails to respond in accordance with the foregoing procedure, fails to provide Advertising Materials or any other necessary approvals in a timely manner, and any of such failure prevents Media Company to meet a launch date for a Deliverable, or if Advertiser postpones the launch date, there will be no reduction in the amount owed to Media Company for such failed, delayed or postponed Deliverable and no guarantee any subsequent launch date, makegood, alternate services or extension IO length term. Without limiting the foregoing, Media Company reserves the right to reallocate the value of such failed, delayed or postponed Deliverable subject to Media Company’s inventory availability.
c. Usage. Media Company Materials or Deliverables are for the sole purpose of promoting Advertiser’s products or services to Media Company’s audience and may not be replicated, distributed or promoted by a third party without the prior written approval of Media Company. Advertiser shall use Media Company Materials in strict compliance with this Agreement and any other instructions provided by Media Company.
d. License. Advertiser hereby grants to Media Company a non-exclusive, royalty-free, worldwide license (or sub-license) to use, reproduce, distribute, create derivative works of, publicly perform, publicly display and digitally perform Advertising Materials and all constituent parts in connection with the performance of the IO.
e. Ownership. Any Media Company Materials and Deliverables (except for Advertising Materials embed therein) shall be owned by, and all rights therein are hereby reserved to, Media Company.

a. Entrega. El Anunciante entregará los Materiales Publicitarios en las fechas que acuerden las partes por escrito (se podrá utilizar el correo electrónico). b. Revisión. Retraso en la entrega de las piezas creativas. Aplazamiento. El Anunciante confirmará si aprueba (o no) las Piezas Publicitarias o los Materiales de la Empresa de Difusión, o enviará la revisión de las muestras preliminares, en un plazo de dos (2) días hábiles a partir de la fecha en que los reciba, a menos que las partes acuerden otro plazo distinto por escrito (se podrá utilizar el correo electrónico). El Anunciante tendrá derecho a realizar una (1) revisión, salvo cuando las partes acuerden previamente por escrito que se realicen más revisiones (se podrá utilizar el correo electrónico). Se cobrará un cargo adicional por los cambios y modificaciones que no formen parte de las revisiones que establezca el Contrato o que acuerden previamente y por escrito las partes (conforme a las tarifas de la Empresa de Difusión que estén vigentes o que se fijen en las OI). Si el Anunciante no cumple los plazos de entrega o revisión anteriores y la Empresa de Difusión no puede cumplir la fecha de publicación de las OI, o si el Anunciante aplaza la fecha de lanzamiento, no se aplicarán descuentos en la tarifa que deba pagarse a la Empresa de Difusión por las Piezas Publicitarias que no se hayan publicado o hayan sido pospuestas ni se ofrecerán garantías respecto de las fechas de lanzamiento posteriores, repeticiones de anuncios, servicios alternativos o ampliación de la duración de las campañas de las OI. La Empresa de Difusión se reserva el derecho de reubicar las Piezas Publicitarias que no hayan sido publicadas, o cuyo lanzamiento se haya retrasado o pospuesto, y/o evaluar las solicitudes de aplazamiento del lanzamiento en función del inventario disponible.
c. Licencia. El Anunciante otorgará a la Empresa de Difusión una licencia internacional no exclusiva y sin regalías para utilizar, sublicenciar, digitalizar, modificar, editar, redimensionar, reproducir, distribuir y presentar o mostrar pública o digitalmente los Materiales Publicitarios necesarios para publicar las Piezas Publicitarias de las OI, así como para crear productos derivados de ellos e incorporarlos en las Piezas Publicitarias.
d. Propiedad. Los Materiales de la Empresa de Difusión y las Piezas Publicitarias serán propiedad exclusiva de esta (a excepción de los Materiales Publicitarios que se inserten en ellos) y todos los derechos asociados quedarán reservados a la Empresa de Difusión. Los Materiales de la Empresa de Difusión y las Piezas Publicitarias tendrán como finalidad única dar a conocer los productos o servicios del Anunciante a la audiencia de la Empresa de Difusión, no estado autorizado a replicarlos, distribuirlos ni utilizarlos para otros fines (ni a permitir que terceros dispongan de ellos), sin el consentimiento previo por escrito de la Empresa de Difusión.

Source text - English NOW, THEREFORE, in accordance with the considerations outlined below, the parties agree to the following.
CLAUSES:
FIRST.-
1.1 The object of this agreement consists in the provision of fiscal representation services by xxxx to xxxx in accordance with the conditions laid down herein.
This appointment must be documented in a formal Power of Attorney, details of which will be provided separately.
The appointment shall be deemed to have started on the date on which the power of attorney is signed.
SECOND.-
2.1 This agreement shall remain in force for a minimum of two years from the start date referred to in 1.1. Thereafter it will be automatically renewed on a six monthly basis, subject to the taking of the action mentioned in clauses 2.2 or 6.1.
2.2 After the initial two year period, and in the case of automatic renewal, either party may cancel the agreement with advance notice of six months in writing. However, in the event of cancellation by xxxx, xxxx will continue to be entitled to receive the fees referred to in paragraph 3.1 (even if no longer providing the service) until such time as an alternative representative or other solution has been registered with the tax authorities.
THIRD.-
3.1 As consideration for the representation services described herein, xxxx shall pay to xxxx the total amount of xxxx Euros per annum, to be invoiced annually in advance, plus Value Added Tax if applicable.
3.2 These amounts shall be updated annually in accordance with the official inflation index.
3.3 These fees include the signing of routine declarations and other documents as prepared and approved by xxxx's financial advisers and dealing with documents received. All official and other communications received will be opened and forwarded, being sent by normal mail with pre-advice by email where considered necessary. Exceptional costs will be chargeable to xxxx.
3.4 The payment of the invoices of xxxx is due 30 days from invoice date by nominative cheque or bank transfer.
3.5 In the case of delay in payment, interest on the outstanding balance will be charged, at the discretion of xxxx, at a rate of one percent per month or part month. Furthermore, xxxx reserves the right to take any legal action to order to protect its interests, in relation to the services being provided.

TERCERA.-
3.1 Como contraprestación de los servicios de representación descritos, xxxx pagará a xxxx la cantidad total de xxxx euros al año, que se facturará anualmente por adelantado, más el impuesto sobre el valor añadido (si fuere aplicable).
3.2 Esta cantidad se actualizará cada año conforme al índice oficial de precios al consumo.
3.3 Dichos honorarios comprenderán la firma de las declaraciones habituales y otros documentos que elaboren y aprueben los asesores financieros de xxxx y la gestión de los documentos recibidos. Todas las comunicaciones, oficiales o no, que se reciban se abrirán y enviarán por correo ordinario (y si es necesario, se notificarán previamente por correo electrónico). Los gastos extraordinarios correrán a cargo de xxxx.
3.4 Las facturas de xxxx se abonarán 30 días después de la fecha de facturación por medio de cheque nominativo o transferencia bancaria.

Source text - English ARTICLE III. CAPITALIZATION
3.1 Each Member shall contribute to the capital of the Company as the Member’s Capital Contribution the money, assets and/or services specified in Exhibit C to this Agreement. Unless otherwise agreed to in writing by the Board of Managers, no Member will be entitled to contribute any additional capital to the Company. Upon such agreement to contribute additional capital, the Percentage Interests specified in Exhibit C shall be revised accordingly. In the Board of Managers’ discretion, the Company may grant a participation bonus to those Members who choose to make additional Capital Contributions. Additional Members (the “Subsequent Members”) may be admitted to the Company on such terms as approved by a Member Supermajority.
3.2 The Company shall establish and maintain a capital account (“Capital Account”) for each Member in accordance with Section 704(b) of the Code and Regulations Section
1.704-1(b)(2)(iv). Except as otherwise provided in this Agreement, the Capital Account balance of each Member shall be credited (increased) by (i) the amount of cash contributed by such Member to the capital of the Company, (ii) the fair market value of property contributed by such Member to the capital of the Company (net of liabilities secured by such property that the Company assumes or takes subject to under Code Section 752), and (iii) such Member’s allocable share of Company income and gain (or items thereof) including income and gain exempt from federal taxation and income and gain attributable to adjustments to reflect book value pursuant to Regulations Section 1.704-1(b)(2)(iv)(g), but excluding income and gain attributable to tax items which differ as a result of the revaluation of Company property as described in Regulations Section 1.704-1(b)(4), and the Capital Account balance of each Member shall be debited (decreased) by (i) the amount of cash distributed to such Member, (ii) the fair market value of property distributed to such Member (net of liabilities secured by such property which the Member assumes or takes subject to under Code Section 752), (iii) such Member’s allocable share of expenditures of the Company described in Code Section
705(a)(2)(B), and (iv) such Member’s allocable share of Company losses, depreciation and other deductions (or items thereof) including loss and deduction attributable to adjustments to reflect book value pursuant to Regulations Section 1.704-1(b)(2)(iv)(g) but excluding expenditures described in (iii) above and loss or deduction attributable to tax items which differ as a result of the revaluation of Company property or excess percentage depletion as described in Regulations Section 1.704-1(b)(4)(i) and (ii). Notwithstanding the foregoing, a Member’s Capital Account shall not be adjusted to reflect gain or loss attributable to the disposition of property contributed by such Member to the extent such Member’s Capital Account reflected such inherent gain or loss in the property on the date of its contribution to the Company.

A criterio del Consejo de Administración, la Sociedad podrá otorgar un bonus de participación a los Socios que realicen Aportaciones de Capital adicionales. Se podrán incorporar nuevos Socios a la Sociedad (los «Socios Posteriores») conforme a los términos que apruebe una Mayoría Cualificada de los Socios.
3.2 La Sociedad establecerá y mantendrá una cuenta de capital para cada Socio (la «Cuenta de Capital») de acuerdo con lo que establecen el artículo 704(b) del Código y la Norma 1.704-(b)(2)(iv). 4.1. LICENSEE shall act in its own name or under its own sign or corporate name. It shall avoid any risk of confusion between itself and LICENSOR’s company, particularly in the administration, law, finance and tax field. It shall act the same way as regards the other LICENSOR trademarks and names.
4.2. LICENSEE agrees, in everybody’s interest including the consumers’, to expend all its efforts to secure the best service to the consumers and so to preserve the reputation of LICENSOR, of the other licensees and of the PRODUCTS.
The closest co-operation shall be established between the parties which shall rapidly inform each other of anything linked to the present contract, particularly to the PRODUCTS and consumers’ reactions.
4.3. LICENSEE shall help LICENSOR for everything that may improve the quality of the PRODUCTS and services, and promote improvements, notably research and development.
4.4. It is reminded that, since the beginning of the collaboration with LICENSOR, LICENSEE has to hold in strict confidence all confidential information received from LICENSOR. LICENSEE shall continue to respect this obligation. Therefore, an intellectual property and confidentiality agreement (attached hereto as annex 2) is agreed by LICENSEE for all the confidential information which will be or have been transmitted to it. LICENSEE had committed itself to respect this agreement during the execution of the present contract and also after its term.

Source text - English XI. PENALTY CLAUSE: This rental terminates ipso iure at the expiry of the term stipulated by the rental contract, without it being necessary to give notice. If, at the expiry of the rental, the renter does not vacate the premises, for any reason whatsoever, he must pay xxxx an indemnity per day later amounting to twice the daily rent until the complete vacating of the premises and return of the keys.
XII. RESPONSIBILITY OF xxxx: The responsibility of xxxx cannot be involved in the event of thefts of or damage to personal belongings in the apartments. In the event of cancellation of the rental by the owner of the apartment, for any reason whatsoever, xxxx shall be obliged to take every action to re-accommodate the Renter in a property equivalent to that reserved for the same dates. In the event of impossibility of re-accommodation, xxxx shall reimburse the Renter for the deposit paid. xxxx shall not be held liable for any temporary lack of equipment, electricity blackout, reduction or cutting-off of water not resulting from its action, for loss, breakage or injury pursuant.
XIII. FORCE MAJEURE: xxxx shall not be held liable in the event of force majeure, i.e. natural disasters, fire, epidemics, war, riots, attacks or total destruction of the property entailing the cancellation of the rental and/or the early termination thereof. The complete cancellation of the rental shall entail the termination of the rental contract and the reimbursement by xxxx to the renter of the amounts already paid. xxxx shall not be obliged to pay any compensation other than the reimbursement of the price of the rental. XV. GOVERNING LAW/JURISDICTION OF THE COURTS: This rental contract and these General Terms and Conditions are governed by French law. Si no es posible reubicar al inquilino, xxxx le devolverá el depósito pagado. xxxx no será responsable de la falta temporal de equipamiento, cortes del suministro eléctrico o reducción o interrupción del suministro de agua que no se deriven de su actuación, ni de las pérdidas, roturas o daños consecuentes.
XIII. FUERZA MAYOR: xxxx no será responsable en caso de fuerza mayor, es decir, si concurren desastres naturales, incendios, epidemias, guerras, revueltas, ataques o destrucción total de la vivienda que den lugar a la cancelación del alquiler y/o la resolución anticipada del mismo. La cancelación completa del alquiler implicará la resolución del contrato de arrendamiento y la devolución, por parte de xxxx, de las cantidades ya abonadas al arrendatario. xxxx no estará obligada a pagar ningún otro tipo de compensación aparte del reembolso del precio del alquiler. La resolución anticipada del arrendamiento conllevará la devolución, por parte de xxxx, del alquiler no disfrutado. Las causas de fuerza mayor que no afecten directamente a la vivienda, pero impidan que el arrendatario llegue al lugar del alquiler, no comportarán la cancelación del arrendamiento ni su resolución. El arrendatario se hará cargo del pago íntegro del importe que establece el contrato.
XIV. RESOLUCIÓN: En caso de incumplimiento de alguna de las obligaciones derivadas de estas condiciones generales, el arrendatario abandonará de inmediato la vivienda alquilada, no estando xxxx obligada a reembolsar cantidad alguna por dicho concepto.
XV. LEGISLACIÓN APLICABLE Y JURISDICCIÓN DE LOS TRIBUNALES: El contrato de arrendamiento y las condiciones generales se regirán por la legislación francesa. It supports diversity of action and positive competitions in xxxx, but also emphasises that xxxx has a common mission and expresses the ambition to share the capacity and knowledge we have. It makes the most efficient use of the resources and capabilities in the xxxx movement, in a flexible, open and dynamic way. It is driven by an operations-first logic that will lead to decentralisation of decision making and investment in the contexts in or near where xxxx works.
The vision is not perceived as radical because xxxx is in fact already a network. Most sections support more than one operational directorate through different mechanisms and all are interlinked at international level. There is also an increasing diversity in xxxxs associative structure that will challenge some of the conservative, centralised structure xxxx has relied on in the past. The xxxx network seeks to reinforce and take advantage of these trends.
Participation at the governance and executive level will be based on capacity and added value. This means that involvement in governance will not create an imperative for executive involvement or vice versa. Engagement is targeted at where it adds most value.
This initiative is open to all xxxx entities, to xxxx colleagues with a specific professional capacity/knowledge and to non xxxx persons or institutions. The xxxx network demands commitment from participants, but it does not seek to govern them.
