- Monsieur XXX s’oblige à effectuer le parfait règlement de toutes dépenses, charges et débours nés de son exploitation jusqu'au jour de la reprise de cette activité, ou des titres sociaux, par Monsieur YYY;
- Il garantit conformément au droit commun à son acquéreur l'exactitude des énonciations concernant l'origine de propriété, les charges, la consistance du droit d’occupation, les chiffres d'affaires et les bénéfices commerciaux pour les trois dernières années d'exploitation ;
- Il assistera le BENEFICIAIRE pendant DEUX (2) mois suivants la prise de possession, le présentera personnellement à sa clientèle et à ses fournisseurs et le mettra au courant des usages particuliers de son entreprise ;
- Il tiendra les livres de comptabilité à la disposition du BENEFICIAIRE pendant trois ans à compter du jour de l'entrée en jouissance ou de la reprise des titres ;
