Source text - English 1) Enter into agreements pertaining to the activities of the Company, sign all and any schedules and/or amendments thereto (including, but not limited to, reconciliation protocols, reconciliation adjustment protocols, supplementary agreements, specifications, requests, orders, executive cost estimates, local cost estimates, price adjustment protocols, negotiated price agreements, other documents containing price calculation of goods, works, services), related to:
• Capital construction
• Generation and/or alienation and/or renting and/or transfer for uncompensated use of the Company’s fixed assets,
• alienation and/or renting and/or transfer for uncompensated use of other parties' fixed assets,
• consultancy
provided that the price of each agreement or a set of related agreements together with the supplements and/or amendments does not exceed Rouble equivalent of 3 000 (three thousand) US dollars including VAT (18%) at the rate of the Bank of Russia as of the date of signing the relevant agreement and/or supplement and/or amendment thereto.
For the purpose of this Power of Attorney, “fixed assets” means buildings, premises, working and power machines, transportation vehicles, equipment, measurement and control instruments and devices, computers, internal roads, land lots, environment management facilities and other appropriate sites. “Fixed assets” does not mean spare parts to machines and equipment.
At that, the Attorney shall not be entitled to conclude on behalf of the Company any agreements, directly or indirectly related to capital construction.
For the purpose of this Power of Attorney, “capital construction” means construction of buildings, structures, facilities, except for temporary structures, stands, sheds and other related erections. “Capital construction” shall not mean performance of current repair of warehouse, office, production premises.
Translation - Russian 1) Заключать договоры, относящиеся к деятельности Общества, подписывать любые приложения и/или изменения и/или дополнения к указанным договорам (включая, но, не ограничиваясь, протоколами разногласий, протоколами согласования разногласий, дополнительными соглашениями, спецификациями, заявками, заказами, исполнительными сметами, локальными сметными расчетами, протоколами согласования цен, соглашениями о договорной цене, иными документами, включающими в себя расчет стоимости товаров, работ, услуг), предметом которых является:
• капитальное строительство,
• создание и/или отчуждение и/или передача в аренду и/или передача в безвозмездное пользование основных средств Общества,
• отчуждение и/или передача в аренду и/или передача в безвозмездное пользование Обществу основных средств иных лиц,
• оказание консультационных услуг,
при условии, что цена каждого договора или ряда взаимосвязанных договоров, с учетом приложений и/или изменений и/или дополнений, не будет превышать рублевый эквивалент 3 000 (Три тысячи) долларов США, включая НДС (18%), по курсу Банка России на дату подписания соответствующего договора и/или приложения и/или изменения и/или дополнения к договору.
Под “основными средствами” для целей настоящей Доверенности понимаются здания, сооружения, рабочие и силовые машины, транспортные средства, оборудование, измерительные и регулирующие приборы и устройства, вычислительная техника, внутрихозяйственные дороги, земельные участки, объекты природопользования и прочие соответствующие объекты. Под «основными средствами» не понимаются запасные части к машинам и оборудованию.
При этом Поверенный не вправе заключать от имени Общества любые договоры, прямо или косвенно связанные с капитальным строительством.
Под «капитальным строительством» для целей настоящей Доверенности понимается строительство зданий, строений, сооружений, за исключением временных построек, киосков, навесов и других подобных построек. Под «капитальным строительством» не понимается осуществление текущего ремонта складских, офисных, производственных помещений.
