compulsory transfer

Although I also found compulsory assignment, compulsory transfer seems to be much more common.

With respect to the GmbH, the creditor will be satisfied by realisation of the GmbH-share. The form of contract as to GmbH needs to prevent that – according to the legal position with respect to the KG – an unrequested third party has the possibility to become shareholder. As an answer to this issue, the possibilities of compulsory redemption of shares and of compulsory assignment of shares need to be discussed.

agree JoelWilliam : "Assignment" is a contract right. "Tranfer" is consistent with the compulsory nature of this transaction.

compulsory assignment of shares

Peer comment(s):

disagree JoelWilliam : "Assignments" are voluntary; this is compulsory, therefore a "transfer."

(co. shares) compulsory transfer; (majority shareholders) drag-along

It's a transfer of co. shares as tangibles, but an assignment of the underlying 'choses in action' as intangibles, so preferably the former and not the latter.

If the majority shareholders force a minority to sell out, it's called a (coerced) drag-along vs. a (voluntary) tag-along.

Example sentence:

The requirement that a compulsory transfer be to a non-US person may require a US Holder selling shares to instruct its broker
