English to Arabic Law/Patents Law: Patents, Trademarks, Copyright By-Laws of a corporation
The Corporation shall indemnify each of its directors, officers, and employees whether or not then in service as such (and his or her executor, administrator, and heirs), against all reasonable expenses actually and necessarily incurred by him or her in connection with the defense of any litigation to which the individual may have been made a party because he or she is or was director, officer, or employee of the Corporation.

What is the best translation for these terms in Arabic in this context?

Can we say:

كافة المصاريف المعقولة التي تكبدها او تكبدتها (فعلا وكانت ضرورية)

فعلا وكانت ضرورية
