Source text - English This Services Agreement is entered into on 10 December 2015 and is made effective as of January 1, 2014 (“Effective Date”) by and between XXX Inc., a corporation organized under the laws of the State of Delaware (USA) and having its principal place of business at XX XXX, USA (“Service Provider”), and XXX srl a company organized under the laws of Italy, wholly-owned by XXX Ltd. (10%) and XXX GmbH (90%), each of which is 100% owned by XXX, Inc. and having its principal place of business at XXX, Italy (“Service Recipient”). Service Provider and Service Recipient are referred in this Agreement collectively as the “Parties” and each individually as a “Party”.
WHEREAS:
A. Service Provider is involved in the development, manufacture, sale, and distribution of surgical instruments and implants for the correction of complex spine pathologies, including those marketed under the XXX brand name. Service Recipient is a wholly-owned subsidiary of Service Provider and serves as a product distribution hub and a distributor of XXX products.
B. Service Provider and Service Recipient entered into a Services Agreement dated as of 26 April 2010 (the “Prior Services Agreement”), which they now wish to replace with this Agreement in order to reflect new operating practices as of the Effective Date.
C. Service Recipient desires that Service Provider provide, and Service Provider has agreed to provide, Services (as defined below) subject to the terms and conditions of this Agreement.
D. The Parties acknowledge that they have agreed to be bound by the Transfer Pricing Policy for the purpose of calculating Service Fees pursuant to this Agreement. The Parties intend to review Service Fees and the other terms of this Agreement at regular intervals during the term of this Agreement to ensure that these contractual arrangements fully reflect and are in accordance with the Transfer Pricing Policy.
Translation - Italian Il presente Contratto di servizi è stipulato in data 10 dicembre 2015 e acquisisce efficacia al 1° gennaio 2014 (“Data di efficacia”) tra XXX Inc., società di capitali di diritto dello Stato del Delaware (USA) avente sede operativa principale in XXX, USA (“Fornitore di servizi”), e XXX S.r.l., società di diritto italiano, interamente controllata da XXX Ltd. (10%) e XXX GmbH (90%), ciascuna delle quali è una partecipata al 100% di XXX, Inc., e con sede operativa principale in XXX, Italia (“Destinatario di servizi”). Nel presente Contratto, il Fornitore di servizi e il Destinatario di servizi sono denominati collettivamente “Parti” e ciascuno individualmente “Parte”.
PREMESSO CHE:
A. Il Fornitore di servizi si occupa delle attività di sviluppo, produzione, vendita e distribuzione di strumenti e impianti chirurgici per la correzione di complesse patologie della colonna vertebrale, ivi compresi quelli commercializzati con il marchio XXX. Il Destinatario di servizi è una società interamente controllata del Fornitore di servizi e funge da centro di distribuzione di prodotti e distributore di prodotti XXX.
B. Il Fornitore di servizi e il Destinatario di servizi hanno stipulato un Contratto di servizi datato 26 aprile 2010 (il “Contratto di servizi precedente”), che adesso intendono sostituire con il presente Contratto allo scopo di documentare le nuove prassi operative a decorrere dalla Data di efficacia.
C. Il Destinatario di servizi desidera che il Fornitore di servizi presti, e il Fornitore di servizi ha accettato di prestare, i Servizi (come definiti infra) secondo i termini e le condizioni del presente Contratto.
D. Le Parti prendono atto di aver accettato di essere vincolate dalla Politica sui prezzi di trasferimento ai fini del calcolo delle Commissioni di servizio ai sensi del presente Contratto. Le Parti intendono rivedere le Commissioni di servizio e le altre condizioni del presente Contratto a cadenza regolare nel corso della durata del presente Contratto allo scopo di accertarsi che tali accordi contrattuali riflettano e rispettino appieno la Politica sui prezzi di trasferimento.
