Source text - English 2. Independence of Contractor:
A. The Contractor and its personnel are not required to work exclusively for the Client.
B. The parties acknowledge that the Client will not oversee or supervise the Contractor’s work or instruct the Contractor or its personnel in how to perform the Services but that the Contractor and its personnel must comply at all times with the Specifications and the other terms of this Agreement.
C. The Client will not provide any training to Contractor or its personnel in how to provide the services, but Client will provide such orientation if any, as may be reasonably necessary to familiarise Contractor and its personnel with Client’s operations, facilities, equipment, and personnel.
D. The Contractor shall provide its own working space and all of its own tools, equipment, supplies, including office and computer equipment and supplies. The Contractor shall provide its own transportation.
E. The Client will not dictate Contractor’s time of work or performance generally, except to the extent that the Specifications establish a completion schedule or interim deadlines, or the nature of certain tasks requires that they be performed during business hours or at other specified times.
F. The parties acknowledge and agree that their respective business operations are not and shall not be combined by virtue of this Agreement, but shall be maintained as separate and distinct during the term of this Agreement.
3. Client Requirements. The client agrees to the following terms for delivery and review of materials.
A. Provide any required information as needed for maximum effectiveness in receiving the Services.
B. After 30 days of no contact from Client to Contractor, The Contractor will assume Client is no longer in need of Contractor’s services, and The Contractor may terminate the Agreement; in this event, the following month’s payment is due and collectible 3 days from the time of the termination.
Translation - Dutch 2. Onafhankelijkheid van de Opdrachtnemer:
A. De Opdrachtnemer en zijn personeel zijn niet verplicht uitsluitend voor de Opdrachtgever te werken.
B. De partijen erkennen dat de Opdrachtgever niet zal toezien op de werkzaamheden van de Opdrachtnemer of de Opdrachtnemer of zijn personeel zal instrueren hoe de Diensten moeten worden uitgevoerd, maar dat de Opdrachtnemer en zijn personeel te allen tijde moeten voldoen aan de Specificaties en de andere voorwaarden van deze Overeenkomst.
C. De Opdrachtgever zal de Opdrachtnemer of zijn personeel geen opleiding verstrekken over de wijze waarop de diensten moeten worden verricht, maar de Opdrachtgever zal de eventuele toelichting verzorgen die redelijkerwijs nodig is om de Opdrachtnemer en zijn personeel vertrouwd te maken met de werkzaamheden, de faciliteiten, de uitrusting en het personeel van de Opdrachtgever.
D. De Opdrachtnemer zorgt voor zijn eigen werkruimte en al zijn eigen gereedschap, materiaal en benodigdheden, met inbegrip van kantoor- en computermateriaal en -benodigdheden. De Opdrachtnemer zorgt voor zijn eigen vervoer.
E. De Opdrachtgever zal het tijdstip van de werkzaamheden of prestaties van de Opdrachtnemer in het algemeen niet bepalen, behalve voor zover in het bestek een tijdschema voor de voltooiing of tussentijdse termijnen zijn vastgesteld, of de aard van bepaalde taken vereist dat deze tijdens de kantooruren of op andere vastgestelde tijdstippen worden uitgevoerd.
F. De partijen erkennen en komen overeen dat hun respectieve bedrijfsactiviteiten niet gecombineerd zijn of zullen worden krachtens deze Overeenkomst, maar gedurende de looptijd van deze Overeenkomst als afzonderlijke en onderscheiden activiteiten zullen worden behouden.
3. Vereisten van de Opdrachtgever. De Opdrachtgever gaat akkoord met de volgende voorwaarden voor levering en evaluatie van materialen.
A. Verstrek alle vereiste informatie die nodig is om de Diensten zo effectief mogelijk te bekomen.
B. Na 30 dagen zonder contact van Opdrachtgever met Opdrachtnemer gaat de Opdrachtnemer ervan uit dat de Opdrachtgever geen behoefte meer heeft aan de diensten van de Opdrachtnemer, en mag de Opdrachtnemer de Overeenkomst opzeggen; in dat geval is de betaling van de volgende maand verschuldigd en inbaar 3 dagen na de opzegging.
