كن على حذر دائم عند إعطاء أية معلومات شخصية عن نفسك أو أبنائك في أي خدمة اتصال؛ فشركة إي باسينج ش.م.م. لا تتحكم أو تُجيز المحتوى أو الرسائل أو المعلومات الموجودة في أي خدمة من خدمات الاتصال، وبذلك، تتبرأ شركة إي باسينج ش.م.م.على وجه التحديد من أية مسؤولية ذات صلة بخدمات الاتصال وأية أعمال تنتج عن مشاركتك في أي خدمة اتصال. ولا يمثل المدراء والمضيفون المتحدثين المفوضين من قبل شركة إي باسينج ش.م.م ، ولا تمثل وجهات نظرهم بالضرورة وجهات نظر إي باسينج ش.م.م.
قد تخضع المواد التي يتم تحميلها إلى إحدى خدمات الاتصال للقيود المفروضة على الاستخدام و/أو الاستنساخ و/أو النشر؛ وبموجبه، تتحمل مسؤولية الامتثال لهذه القيود عند قيامك بتحميل المواد.

إلى الحد الأقصى المسموح به قانوناَ، تخضع هذه الاتفاقية لقوانين ولاية مينيسوتا وبالتالي فأنت توافق بموجبه على الاختصاص الحصري والمكاني لانعقاد المحاكم في ولاية مينيسوتا في جميع المنازعات التي تنشأ عن الموقع أو فيما يتعلق باستخدامه. ويعد استخدام هذا الموقع غير مصرح به عبر أية طريقة لا تخول نفاذ أحكام هذه الشروط، بما في ذلك، دون تقييد، هذا القسم. ويخضع كل طرف بشكل نهائي، في أي مطالبة أو دعوى تنشأ بصورة مباشرة أو غير مباشرة بموجب هذه الاتفاقية أو فيما يتعلق بالموقع، للاختصاص الشخصي المنوط بالمحكمة المحلية لولاية مينيسوتا في مقاطعة هينيبين، مينيسوتا، أو لمحكمة الولايات المتحدة في مقاطعة مينيسوتا. ويتنازل كل طرف عن أية طعون على اختصاص أو مكان أو عدم ملائمة هذه المحاكم. ومن ثم، فأنت توافق على تقديم أي دعوى ضد شركة إي باسينج ش.م.م بصفتك الشخصية فقط، وعدم مشاركتك في أي إجراء جماعي أو ما يسمى بالدعوى "الجماعية" ضد شركة إي باسينج ش.م.م.
الشروط العامة
لا يجوز لك التنازل عن أية حقوق أو التزامات بموجب هذه الاتفاقية دون الحصول على موافقة خطيّة مسبقة بينما يجوز لشركة إي باسينج ش.م.م التنازل عن كامل الاتفاقية أو جزءًا منها. ومن ثم فأنت تقر بعدم وجود أي مشروع مشترك أو شراكة أو علاقة عمل أو وكالة بينك وبين شركة إي باسينج ش.م.م نتيجة هذه الاتفاقية أو استخدام الموقع. ويخضع تنفيذ شركة إي باسينج ش.م.م لهذه الاتفاقية للقوانين والإجراءات القانونية المطبقة، ولا يوجد في هذه الاتفاقية ما ينتقص من حق شركة إي باسينج ش.م.م في الامتثال لطلبات الحكومة أو المحاكم أو طلبات إنفاذ القانون أو المتطلبات ذات الصلة باستخدامك للموقع أو المعلومات التي توفرها الشركة أو يتم جمعها بواسطتها.
إذا ما وُجد أن أي جزء من هذه الاتفاقية غير ساري أو غير قابل للنفاذ وفقًا للقانون المعمول به بما في ذلك، على سبيل المثال لا الحصر، إخلاء المسؤولية عن الضمانات وتقييد المسؤولية المنصوص عليهما أعلاه، حينئذ يُستبدل النص غير الساري أو غير القابل للنفاذ بنص ساري وقابل للنفاذ يوافق بدقة مقصود النص الأصلي وتظل بقية أجزاء الاتفاقية سارية. وبموجب ذلك توافق على تقديم أي وجميع المطالبات التي تتعلق بشركة إي باسينج ش.م.م في غضون اثنى عشر (12) شهرًا من تاريخ أول ظهور لهذه المطالبات؛ وتسقط جميع المطالبات التي لا تقوم بتقديمها خلال هذه الفترة.
ما لم ينص على خلاف ذلك، تمثل هذه الاتفاقية الاتفاق الكامل بين المستخدم وشركة إي باسينج ش.م.م فيما يتعلق بالموقع، وهي تحل محل جميع الاتصالات والعروض السابقة والحالية، سواء الإلكترونية أو الشفهية أو الخطية، بين المستخدم وشركة إي باسينج ش.م.م بشأن الموقع. أي نسخة مطبوعة من هذه الاتفاقية وأي إشعار إلكتروني يجب أن يكون مقبولاً في الدعاوى القضائية أو الإدارية المستندة إلى هذه الاتفاقية أو المتعلقة بها بنفس القدر ونفس الشروط التي تخضع لها الوثائق والسجلات التجارية الأخرى التي تنشأ بنفس الطريقة ويتم العمل بها في صورتها المطبوعة. وقد أبدى الطرفان رغبتهما الصريحة في أن تكون هذه الاتفاقية وجميع الوثائق المتعلقة بها محررة باللغة الإنجليزية.
التغيير في الشروط
تحتفظ شركة إي باسينج ش.م.م، وفق تقديرها المنفرد، بالحق في تغيير الشروط التي تم بموجبها إتاحة موقع إي باسينج. وتحل النسخة الأحدث من الشروط محل النسخ السابقة. ولذا تحثك شركة إي باسينج ش.م.م. على مراجعة الشروط بصفة دورية لتبقى على اطلاع بكافة التحديثات.

Source text - English القسم 2 سلطة التوجيه
(1) تخوِّل المنشاة الخاضعة للسيطرة سلطة توجيهها إلى المنشأة المسيطرة.
(2)تُصدِر المنشأة المسيطرة من خلال الكيانات الممثلة لها أو الأشخاص المفوضين من قبل تلك الكيانات كافة التعليمات المتعلقة بالأمور التنظيمية والاقتصادية والفنية والمالية والخاصة بشئون العاملين التي تعد ضرورية إلى المنشأة الخاضعة للسيطرة . يتم إصدار تلك التعليمات بصفة عامة أو لأغراض محددة ويجب أن تكون خطية. وفي حال صدور تلك التعليمات شفهيًا، يجب تأكيدها خطيًا على الفور.
(3) تلتزم المنشأة الخاضعة للسيطرة بالامتثال للتعليمات الصادرة عن المنشأة المسيطرة في كافة الأمور، ما لم تكن هناك أسباب ملحة تتعلق بالشركة أو التجارة أو قانون المحاسبة والتي من شأنها أن تمنع الامتثال لتلك التعليمات. ولا تشمل سلطة إصدار التعليمات، تغيير هذا العقد أو الإبقاء عليه أو إنهائه.
القسم 3 تحويل الأرباح وتحمل الخسائر
(1) تلتزم المنشأة الخاضعة للسيطرة بتحويل الأرباح السنوية في ميزانيتها العامة، بعد خصم الضرائب، إلى المنشأة المسيطرة فور انتهاء السنة المالية المقصودة ويُستثنى من ذلك المبالغ المنصوص عليها في الفقرتين 2 و3 من القسم 4.
(2) يُقصد بلفظ "الربح"، الربح السنوي، الذي كان سيتم التحصل عليه إذا لم يتم تحويله، المقدّر بمبلغ مكافئ لخسارة محتملة مُرحّلة من العام السابق وفقًا للقانون التجاري بالإضافة إلى المبلغ الذي يتم إضافته إلى الاحتياطي القانوني أو النظامي. لا يجوز أن تتجاوز الأرباح المحوَّلة مقدار المبلغ المنصوص عليه في القسم 301 من قانون الشركات (القانون الألماني لشركات الأوراق المالية "AktG").
Translation - Arabic Section 2 Power of direction
(1) The controlled enterprise places the direction of its enterprise in the hands of the controlling enterprise.
(2) Through its representative bodies or through persons commissioned by them for this purpose they shall issue to the controlled enterprise all instructions in respect to organisational, economic, technical, financial and personnel issues which are deemed necessary. The instructions shall be issued in general or for specific matters and must be in writing. If they are issued verbally they must be immediately confirmed in writing.
(3) The controlled enterprise is obligated to obey the instructions of the controlling enterprise in every respect, unless there are urgent reasons related to company, trade or accounting law for not doing so. The authority to issue instructions does not cover the changing, maintaining or ending of this agreement.
Section 3 Profit transfer and assumption of losses
(1) The controlled enterprise is obligated to transfer the annual profit of its balance sheet after taxes to the controlling enterprise following expiry of the respective fiscal year, with the exception of the amounts listed under Section 4 Par. 2 and 3.
(2) Profit is defined as the annual profit, which would have been realised if not for the transfer of profit, adjusted by an amount equal to a possible loss carried forward from the preceding year in accordance with commercial law and the amount to be included in legal or statutory reserves. The transfer of profits may not exceed the amount listed in Section 301 of the Companies Act (AktG), in the respective valid version.
