Source text - French La présente lettre (l' "Accord de Confidentialité") a pour objet de définir les conditions selon lesquelles notre société ainsi que ses Représentants s'engagent à préserver la confidentialité des Informations Confidentielles.
(a) Pour les besoins de l'Accord de Confidentialité, sont considérées comme constituant des "Informations Confidentielles" :
(i) les informations de toute nature portant, directement ou indirectement, sur le Groupe et/ou les actionnaires ou associés de toute entité du Groupe, qui auront été communiquées, par tout moyen, préalablement ou après la date du présent Accord de Confidentialité, à notre société et/ou à l'un quelconque de ses dirigeants, mandataires sociaux, salariés et conseils juridiques (ensemble, les "Représentants"), par ou pour le compte de la Société, de l’une quelconque des entités du Groupe, ou de leurs représentants respectifs ;
(ii) les analyses, synthèses, études et autres documents préparés par ou pour le compte de notre société, contenant certaines informations définies au paragraphe (a)(i) ci-dessus ou élaborés à partir de telles informations ;
(iii) le fait que des informations définies au paragraphe (a)(i) ci-dessus nous aient été transmises, la conclusion de l'Accord de Confidentialité, notre potentiel intérêt ou désintérêt à réaliser l'Opération, le fait que des discussions ou négociations soient en cours concernant le projet d'Opération, leur état d'avancement, les parties concernées, les termes et conditions discutés ainsi que plus généralement toute autre information de toute nature concernant l'Opération.
(b) Nos engagements au titre de l'Accord de Confidentialité ne portent pas sur les Informations Confidentielles dont nous pourrons établir que :
(i) elles sont connues du public autrement que du fait d'une divulgation opérée par notre société ou ses Représentants en violation de nos ou leurs obligations au titre de l'Accord de Confidentialité ou de toute autre obligation de confidentialité nous ou leur incombant ;
Translation - English This letter ("Confidentiality Agreement") is intended to lay down the conditions that our company, as well as its Representatives, undertake, so that Confidential Information can be kept private.
(a) For the purposes of the Confidentiality Agreement, the following is considered as containing "Confidential Information":
(i) information of any nature relating, directly or indirectly, to the Group and/or the shareholders or members of any entity in the Group, disclosed, by any means, before or after the date of the Confidentiality Agreement, to our company and/or any of its directors, company agents, employees and legal advisors (collectively, the "Representatives"), by or on behalf of the Company, of any of the entities in the Group, or of their respective representatives;
(ii) analyses, summaries, studies and other documents prepared by or on behalf of our company, containing certain information set out in paragraph (a)(i) above or developed from such information;
(iii) the fact that any information set out in paragraph (a)(i) above has been provided to us, the Confidentiality Agreement entered into, our potential interest or disinterest in carrying out the Operation, the fact that any discussions or negotiations are ongoing regarding the Operation project, their progress, the parties concerned, the terms and conditions discussed as well as more generally any other information of any nature regarding the Operation.
(b) Our commitments under the Confidentiality Agreement do not include Confidential Information from which we can establish:
(i) it is known to the public other than making a disclosure operated by our company or its Representatives in breach of our or their obligations under the Confidentiality Agreement or any other obligation of confidentiality to which we and they are subject;
