Nach internen Angaben handelte es sich bei M.O.Air um einen weitgehend passiven Mitgesellschafter, so dass die tatsächliche Führung der Gesellschaft bei Schenker International lag. Da Schenker Japan über keine eigenen Lager- und Umschlagsfazilitäten und keinen Eigenfuhrpark besaß, wurde das gesamte Handling der Gesellschaft über die in den Ballungszentren verteilte Infrastruktur von M.O.Air im Namen von Schenker Japan abgewickelt. Eine hundertprozentige Übernahme der Gesellschaft war aus Sicht von Schenker International zu dieser Zeit nicht sinnvoll, da die Zusammenarbeit gut funktionierte. Außerdem war die Akquisition von Key Accounts (wie etwa Mitsubishi Heavy Industries) in Japan mit einem lokalen Partner einfacher. Nach § 7a Abs. 1 bis 3 gilt dort (verab-schiedete Fassung vom 25. Oktober 2008): „Der Zuschlag beträgt je Millimeter Nenndurchmesser der neu verlegten Wärmeleitung einen Eu-ro pro Meter Trassenlänge. Der Zuschlag nach Satz 1 darf
20% der ansatzfähigen Investitionskosten des Neu- oder Ausbaus, ins-gesamt aber 5 Millionen Euro je Projekt, nicht überschreiten. Ansatzfä-hige Investitionskosten sind alle Kosten, die für erforderliche Leistungen Dritter im Rahmen des Neu- oder Ausbaus von Wärmenetzen tatsäch-lich angefallen sind. Die Summe der Zuschlagszahlungen für Wärme-netze darf 150 Millionen Euro je Kalenderjahr nicht überschreiten.“
