English to Dutch: LICENSE AGREEMENT FOR THE USE OF ***** SOFTWARE
Source text - English 2.- LICENSE
2.1 Ownership. ***** USA, Inc.’s parent company, retains ownership of the Licensed Application(s) and all copies thereof. ***** retains all rights regarding the Licensed Application(s) which are not expressly granted to Licensee in this Agreement or a duly executed addendum to this Agreement.
2.2 Grant of License. Subject to payment of the fees specified in Exhibit A and any subsequent charges that may accrue under the terms of this License; ***** grants to Licensee a perpetual, non-exclusive, non-transferable License within the territory of the United States of America, to install the Licensed Application(s) on the Server for use in the software configuration designated in Exhibit A for the sole purpose of processing Licensee’s internal data with respect to Active Employees. This License does not authorize any use other than that which is expressly set out herein, all remaining rights being reserved by *****.
2.3 Permitted Use. The Licensed Application(s) may be installed on one Server and on multiple Remote Centers.
The Licensed Application(s) may only be used to process data regarding as many Active Employees as appear on Exhibit A, or the latest subsequent addendum to it.
After having duly notified ***** and received *****’s consent, Licensee may transfer the Licensed Application(s) to another computer or hardware unit whose configuration is essentially identical to the initial configuration for which the License that is the object of this Agreement was granted, or to a locality other than the initial one providing that it pertains to Licensee’s organization and is within United States territory.
The use of Auxiliary Programs that are supplied by ***** for use with the Licensed Application(s), and for which no separate license agreement is executed, shall be subject to the same conditions of use described in this Agreement for the Licensed Application(s), including the prohibitions against duplication, and may not be used for any purposes unrelated to the operation and use of the Licensed Application(s). This Agreement may be enforced, in whole or in part, by the third parties to whom the Auxiliary Programs belong, to the extent that their programs are affected.
2.4 Title. ***** warrants that it has full authority to grant the License to Use the Licensed Application(s) that is the object of this Agreement and will assume the legal defense, and all related costs, against any claims brought against Licensee for supposed infringement of the intellectual property rights of third parties upon the conditions that (i) Licensee notifies ***** of such claims within the ten (10) calendar days following the day upon which Licensee received notification, (ii) Licensee yields complete control of the defense to *****, and (iii) Licensee provides ***** with all of the information and other assistance required in order to properly carry out the defense.
Licensee may not settle or compromise any such claim without *****’s prior express written consent.
Translation - Dutch 2.- LICENTIE
2.1 Eigendom. ***** USA, Inc.´s moedervennootschap behoudt het eigendom van de in Licentie Gegeven Applicatie(s) en van alle kopieën daarvan. ***** behoudt alle rechten op de in Licentie Gegeven Applicatie(s) welke niet uitdrukkelijk aan Licentiehouder zijn verleend in deze Overeenkomst dan wel in een rechtsgeldig ten uitvoer gebrachte aanvulling op deze Overeenkomst.
2.2. Licentieverlening. Op voorwaarde van betaling van de vergoedingen gespecificeerd in Bijlage A en van eventuele latere betalingen welke zouden mogen voortspruiten uit de bepalingen van deze overeenkomst, verleent ***** aan Licentiehouder een eeuwigdurende, niet-exclusieve, niet-overdraagbare Licentie binnen het grondgebied van de Verenigde Staten van Amerika, teneinde de in Licentie Gegeven Applicatie(s) te installeren op de Server ter gebruik in de configuratie van de computerprogrammatuur genoemd in Bijlage A met als uitsluitend doel het verwerken van Licentiehouder’s interne gegevens van haar Werknemers in Actieve Dienst. Deze Licentie autoriseert geen ander gebruik dan dat welke uitdrukkelijk in deze Overeenkomst is bepaald, alle overige rechten worden voorbehouden door *****.
2.3 Toegestaan Gebruik. De in Licentie Gegeven Applicatie(s) mag worden geïnstalleerd op één Server en op meerdere Centra op afstand van de hostcomputer (Remote Centers).
De in Licentie Gegeven Applicatie(s) mag slechts worden gebruikt teneinde gegevens te verwerken van het aantal Werknemers in Actieve Dienst dat verschijnt in Bijlage A, dan wel in de meest recente latere aanvulling daarop.
Na ***** behoorlijk in kennis te hebben gesteld en *****´s goedkeuring te hebben ontvangen, mag Licentiehouder de in Licentie Gegeven Applicatie(s) overzetten op een andere computer of hardware-eenheid waarvan de configuratie in wezen identiek is aan de initiële configuratie voor welke de Licentie welke onderwerp van deze Overeenkomst is, is verleend dan wel op een plaats anders dan de initiële, mits het onderdeel is van Licentiehouder’s organisatie en het zich bevindt binnen het grondgebied van de Verenigde Staten.
Het gebruik van Hulpprogramma´s welke zijn geleverd door ***** voor gebruik met de in Licentie Gegeven Applicatie(s) en waarvoor geen afzonderlijke licentieovereenkomst is gesloten, is onderworpen aan dezelfde gebruiksvoorwaarden als die welke zijn omschreven in deze Overeenkomst voor de in Licentie Gegeven Applicatie(s), inclusief het kopieerverbod, en mag niet gebruikt worden voor doelen welke geen verband houden met het functioneren en het gebruik van de in Licentie Gegeven Applicatie(s). Derden aan wie de Hulpprogramma´s toebehoren, zijn bevoegd nakoming van deze Overeenkomst, geheel of gedeeltelijk in rechte af te dwingen, voor zover en in de mate dat hun programma´s zijn aangetast.
2.4 Titel. ***** garandeert dat zij volledig bevoegd is de Licentie tot het gebruik van de in Licentie Gegeven Applicatie(s) welke onderwerp van deze Overeenkomst is, te verlenen en zal de juridische verdediging en alle aanverwante kosten van alle tegen Licentiehouder ingestelde rechtsvorderingen op grond van vermeende inbreuk van auteursrechten van derden op zich nemen op voorwaarde dat (i) Licentiehouder binnen tien (10) kalenderdagen volgende op de dag waarop Licentiehouder de kennisgeving heeft ontvangen, ***** in kennis stelt van dergelijke rechtsvorderingen (ii) Licentiehouder de volledige zeggenschap over de verdediging aan ***** overdraagt, en (iii) Licentiehouder aan ***** alle informatie verschaft en overige medewerking verleent, welke noodzakelijk zijn teneinde de juridische verdediging op behoorlijk wijze te kunnen voeren.
Ten aanzien van een dergelijke rechtsvordering is Licentiehouder zonder *****´s voorafgaande expliciete schriftelijke toestemming niet gerechtigd tot een schikking te komen, dan wel deze af te doen door een compromis.
