German to English Law/Patents Law: Contract(s) + finance
From transl. agency's Ts and Cs. Here's the whole paragraph but it's the last sentence that's especially tricky. My current rendering of it follows the German. Any comments/improvements?

"5. Zahlungsbedingungen
Rechnungen von XXX sind sofort nach Erhalt ohne Abzug zahlbar. Gerät der Auftraggeber mit der Zahlung in Verzug, kann XXX Zinsen in Höhe von 8% über dem Basiszinssatz der Deutschen Bundesbank bis zum Eingang der vollständigen Forderung verlangen. Zur Zahlung ist grundsätzlich allein der Auftraggeber verpflichtet; Zahlungen Dritter werden erfüllungshalber nur angenommen, wenn sie fristgerecht in voller Höhe des Rechnungsbetrags eingehen und Auftraggeber, Rechnungs- und Auftragsnummer eindeutig erkennbar sind. Ein Zurückhaltungsrecht bei Zahlungen ist grundsätzlich ausgeschlossen. *Der Auftraggeber darf gegen andere Forderungen nicht aufrechnen, außer diese sind unbestritten oder rechtskräftig festgestellt.*"

My rendering:
"The customer shall have no right to demand payment or a reduction of the invoice value for any reason except where this is accepted by XXX or is legally enforceable

I hope you didn\'t get the wrong impression: \"with final and binding effect\" is actually \"res judicata\" = \"rechtskräftig\". I suppose the claims could also be recognized with final and binding effect by an arbitral tribunal (under certain circumstances, i.e. in the existence of an arbitration clause).

agree Gareth McMillan : Agree, but very odd. Offsetting is generally not accepted as a claims argument in German Law.

I'm not sure what you mean with "claims argument", but German law differentiates between the "materiellrechtliche Aufrechnung" (see: §§ 387 ff BGB) and the "prozessuale Aufrechnung" (see: § 322 II ZPO), the latter of which is done during proceedings. :-)
