I agree with Maria about the second part - YYY must provide "exemplary" services or performance, but my understading for préférence is different.
I take it as XXX must be the prefered customer if you will, since YYY is esentially performing a service for XXX (if I understand their relationship correctly). That is, YYY must give preference to the work it does for XXX.

Sorry if this just confuses things further! Perhaps the context can help you figure out which party is being prefered.

This is the way I see it :
XXX has the right to choose (a kind of preference principle) the company's future strategy (reference made to "Mise en place de plans de progrès annuels visant à l'amélioration globale) and YYY has the obligation to conduct the business (which has been decided by XXX) in an exemplary manner (i.e. even if YYY does not agree with this strategy).
With this in mind, perhaps you could put :
XXX is the sole decision maker (principle of preference) and YYY has an obligation to conduct business in an exemplary manner.
Seems to be a bit long-winded though !
