19.3 Adjustment for Contingency Release
(a) As soon as reasonably practicable after the occurrence of the Phase II Commercial Operation Date:
(i) Contractor shall determine the amount of the Actual Phase II Project Cost; and
(ii) if the Actual Phase II Project Cost is less than the Estimated Phase II Project Cost (such difference being described herein as a “Cost Underrun”), then the Rates applicable to the Phase II Capacity Payments shall be adjusted, on a pro-rata basis (reflecting the respective cost allocation under the Phase II EPC Contract to power, steam and water) in accordance with paragraph (b) below, in order to reflect the existence of the Cost Underrun.
(b) The adjustment shall be carried out by reducing the Estimated Phase II Project Cost in the Integrated Plant Financial Model by an amount equal to the Cost Underrun, and re-calculating the Rates applicable to the Phase II Capacity Payments so as to maintain the Phase II Rate of Return for Phase II in the Integrated Plant Financial Model.
(c) Offtaker may request, and Contractor shall provide, such information in relation to the Actual Phase II Project Cost (or any element thereof) as may be necessary in order to determine the existence or amount of any Cost Underrun.
