English to Persian (Farsi) - Standard rate: 0.09 EUR per word / 25 EUR per hour Persian (Farsi) to English - Standard rate: 0.09 EUR per word / 25 EUR per hour
14.1 In the event this contract is impeded or delayed wholly or partially by any party due to cases of Force Majeure e.g. strike or lock-out, hostilities or war (whether declared or not), extensive military mobilization, insurrection, seizure, embargo, rebellion, calamity, earthquake, fire, flood, strong storms, explosions, epidemics, and other natural disasters or events out of their control, including the circumstance that the export permission will be rejected by Federal Office of Economics and Export Control (BAFA), no party is responsible to implement its obligations in this contract.
In the event that any new export rules and/or regulations become effective during execution of this CONTRACT, this shall be considered as a FORCE MAJEURE circumstance and Article 14.1 (Force Majeure) shall apply. In that event BUYER and SELLER will diligently discuss the steps to be taken
14.2 In Force Majeure case, both parties shall negotiate and mutually agree on suitable measures to prevent or restrict inappropriate consequences caused by the Force Majeure.

14.3 A certificate issued by the Commercial and Industrial Chamber of the incapable party’s country is considered a complete evidence for the presence and time of the Force Majeure. This certificate has to be dispatched (by fax) to the other party within max. 15 days after occurrences of Force Majeure events.
The party claiming relief from performance of their obligation under this Contract due to Force Majeure shall be excused for delays in their performance of obligations and any period allowed for the performance shall automatically be extended by a period equivalent to the period of the delay caused by the Force Majeure.
14.4 The party claiming to be affected by Force Majeure shall notify the other party in writing without delay on the intervention and on the cessation of such circumstance. If Force Majeure prevents the Buyer from fulfilling his obligations, the Buyer shall be responsible to secure and protect the equipments in Iran. In such a case the Seller shall be responsible for securing and protecting those equipments outside of Iran. Each party would be responsible for the occurring costs (e.g. warehousing).
If the said Force Majeure continues for more than 3 consecutive months, then both contracting parties shall during the 4th month confer with one another and decide the steps to be taken to prevent further delays.
Translation - Persian (Farsi) . چنانچه اجرای قرارداد تماما" یا بخشا" توسط هریک از طرفین به دلیل مسایل فورس ماژور از قبیل اعتصاب، قفل کردن درهای کارخانه به دلیل اختلاف کارفرما و کارگر، جنگ ( چه اعلام شده باشد چه نشده باشد)، آماده باش نظامی، شورش سیاسی، تصرف، تحریم اقتصادی، بلا، زلزله، آتش سوزی، سیل، طوفان شدید، انفجار، بیماری های اپیدمی و دیگر قوه های قهریه یا حوادثی که از کنترل طرفین خارج باشد همچنین شرایطی که اداره فدرالی کنترل صادرات و امور بازرگانی مجوز صادرات را صادر نکند، به تعویق بیفتد هیچ یک از طرفین ملزم به ایفای تعهدات این قرارداد نمی باشند.
چنانچه در زمان اجرای این قرارداد قوانین و مقررات صادراتی جدید لازم الاجرا شوند بند 14.1 ( فورس ماژور) به کار بسته خواهد شد. در چنین شرایطی خریدار و فروشنده در خصوص اقدامات لازمه مذاکره خواهند کرد
14.2. در شرایط فورس ماژور طرفین باید با یکدیگر مذاکره نمایند و در خصوص اقدامات مناسب جهت جلوگیری از عواقب حاصل از فورس ماژور به توافق دوجانبه برسند.
14.3. گواهی صادره از اتاق بازرگانی و صنعت و معدن کشور طرف مواجه شده با شراطی فورس ماژور برای اثبات شرایط فورس ماژور کافی است. این گواهی باید طی حداکثر 15 روز پس از زمان وقوع شرایط فورس ماژور به طرف دیگر از طریق فکس ارسال شود.
طرفی که به دلیل شرایط فورس ماژور برای مدتی ناتوان از اجرای تعهدات این قرارداد گردیده است به خاطر تاخیر در ایفای تعهدات بخشیده می شود و مدت زمان تعیین شده برای ایفای تعهدات معادل با مدت زمان تاخیر به دلیل شرایط فورس ماژور تمدید می شود.
14.4. طرفی که با شرایط فورس ماژور مواجه شده است موظف است طرف دیگر را سریعا" و کتبا" از این شرایط و توقف کار مطلع سازد. چنانچه شرایط فورس ماژور مانع از ایفای تعهدات خریدار بشود، خریدار مسئول حفظ و نگهداری تجهیزات موجود در ایران می باشد و اگرچنین شرایطی برای فروشنده پیش آمده باشد فروشنده مسئول تجهیزاتی که خارج از ایران هستند می باشد و هر یک از طرفین متحمل هزینه های مربوطه ( مثلا" انبار) می شوند.
اگر شرایط فورس ماژور بیشتر از سه ماه متوالی ادامه پیدا کند طرفین قراداد باید طی ماه چهارم با یکدیگر مذاکره و مشورت نمایند و در رابطه با اقدامات لازم جهت جلوگیری از تاخیر طولانی تر تصمیم اتخاذ نمایند.
