Source text - English When a private Asian collector bid an eye-popping $558,000 for a single bottle of 1945 Romanée-Conti at Sotheby’s sale this past Saturday in New York, a world record was smashed. This was not just the highest price ever reached for a 750ml bottle of Burgundy, but also the highest for any bottle of wine ever at auction.
Which begs the question: Why would someone pay half a million dollars for a bottle of wine? Well, the 1945 Romanée-Conti is a very, very special bottle, the rarest of the rare. Here’s why.
Fabled Vineyard
All the wines from the Domaine de la Romanée-Conti, in the charming, tranquil town of Vosne-Romanée, are famous, sought-after Burgundies. An entire mystique surrounds the domaine, which is known by the nickname DRC. Farmed biodynamically, its grand cru vineyards are meticulously cared for, the grapes sorted individually.
But of its seven fabled reds and one white, those from the tiny 4.5-acre Romanée-Conti vineyard are absolutely iconic, the epitome of the highest-quality Burgundy.

Điều này đã làm dấy lên một câu hỏi: Tại sao người ta sẵn lòng bỏ ra nửa triệu đô la chỉ để mua một chai rượu vang? Nói đúng hơn thì Romanée-Conti năm 1945 là một chai rượu cực kì đặc biệt và hiếm có khó tìm. Đây là lý do.
Điền trang huyền thoại
Tất cả các loại rượu vang cộp mác Domaine de la Romanée-Conti, nằm trong thị trấn thanh nhã, yên bình của Vosne-Romanée, nổi tiếng là loại vang luôn được săn lùng của vùng Burgundy. Source text - English This MASTER FRANCHISING AGREEMENT (“Agreement”) is entered into on the 9th day of August 2000.
Between
LIHO Pte Ltd (Company Registration No.: .......), a company established under the laws of Singapore with its registered office at ........ (“Franchisor”);
And
ABC Import Export Co., Ltd (Company Registration No.: .......), a company established under the laws of Vietnam with its registered office at Hanoi, Vietnam (“Master Franchisee”);
(singularly refer to as a “Party”, and collectively refer to as the “Parties”.)
WHEREAS:
(A) Franchisor is the owner of the Intellectual Property Rights (“IP Rights”) associated with a unique system for the operation of the LiHO businesses offering for sale of beverage products, foods, certain complementary products, accessories, and services under the name of “LiHO” (hereinafter collectively referred to as the “LiHO System”).
(B) Franchisor has available to offer for license the trade marks (“Trademarks”) set out in Appendix II used in relation to the LiHO System.
(C) The Master Franchisee is desirous of operating the LiHO System within Vietnam (“Authorized Territory”) and requires a licence from Franchisor to use the IP Rights, the Trademarks and the Trade Secrets, and the assistance of Franchisor in operating the LiHO System. Franchisor is agreeable to do so on the terms and conditions set forth in this Agreement.
NOW, THEREFORE, in consideration of the representation, warranties, and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Parties hereby agree as follows:
1. Definitions and Interpretation:
1.1 In this Agreement, unless the context otherwise requires, the following words or expressions shall have the following meanings:
“LiHO System'': shall have the meaning set forth in the recitals.
“Agreement”:means this agreement and any and all annexures, schedules, exhibits and appendices attached to it.

XÉT RẰNG:
(A) Bên nhượng quyền là chủ sở hữu Quyền Sở hữu Trí tuệ (“Quyền SHTT”) đối với hệ thống vận hành độc nhất của doanh nghiệp LiHO, cung cấp doanh số sản phẩm thức uống, đồ ăn, một số sản phẩm bổ trợ, đồ phụ kiện và các dịch vụ dưới tên “LiHO” (gọi chung sau đây là “Hệ thống LiHO”).
(B) Bên nhượng quyền sẵn sàng cấp phép sử dụng thương hiệu (“Thương hiệu”) được cấu thành từ phụ lục II đối với việc sử dụng liên quan đến Hệ thống LiHO.
(C) Bên nhận nhượng quyền độc quyền mong muốn được đưa Hệ thống LiHO đi vào hoạt động tại Việt Nam và đề nghị Bên nhượng quyền cấp phép sử dụng Quyền SHTT, Thương hiệu, Bí mật Thương mại cũng như yêu cầu sự hỗ trợ đến từ phía Bên nhượng quyền trong việc vận hành Hệ thống LiHO. Bên nhượng quyền đồng ý thực hiện dựa trên Điều khoản và Điều kiện nằm trong Hợp đồng này.
VÌ VẬY, xét vào việc đại diện, đảm bảo và thỏa thuận tại điểm này, những khoản đối ứng tốt và có giá trị khác, trên tinh thần nhận thức đầy đủ lẫn nhau đã được công nhận, qua đây cả hai bên cùng thống nhất đi đến thỏa thuận như sau:
1. Định nghĩa và Giải thích:
1.1 Trong hợp đồng này, trừ trường hợp có quy định khác về ngữ cảnh, nếu không, các từ ngữ và cụm từ dưới đây được hiểu như sau:
“Hệ thống LiHo”: được hiểu nghĩa như đã được nêu ở phần mở đầu.
“Hợp đồng”: có nghĩa là bao gồm biên bản hợp đồng này và bất kì hoặc tất cả các phụ lục, lịch trình, quảng cáo và chú thích thuật ngữ nào đính kèm.
