Source text - English ARBITRATION CLAUSE
1. Any dispute, difference, controversy or claim arising out of or in connection with this Agreement shall be referred to and determined by arbitration in Toronto, Province of Ontario, Canada.
2. The party initiating recourse to arbitration (hereinafter referred to as “the claimant”) shall give to the other party (hereinafter referred to as “the respondent”) a notice of arbitration, which notice shall include:
(i) a demand that the matter be referred to arbitration;
(ii) the names and addresses of the parties;
(iii) a reference to this arbitration clause; and
(iv) a description of the nature and circumstances of the dispute giving rise to the claim(s) and a statement of the relief sought including, so far is possible, an indication of any amount(s) claimed.
3. The arbitral tribunal (“the tribunal”) shall be composed of three arbitrators appointed as follows:
(i) each party shall appoint an arbitrator, and the two arbitrators so appointed shall appoint a third arbitrator who shall act as president of the tribunal;
(ii) if either party fails to appoint an arbitrator within 30 days of receiving notice of the appointment of an arbitrator by the other party, such arbitrator shall be at the request of that party be appointed by the International Chamber of Commerce;
(iii) if the two arbitrators to be appointed by the parties fail to agree upon a third arbitrator within 30 days of the appointment of the second arbitrator, the third arbitrator shall be appointed by the International Chamber of Commerce at the written request of either party;
(iv) should a vacancy arise because any arbitrator dies, resigns, refuses to act, or becomes incapable of performing his functions, the vacancy shall be filled by the method by which that arbitrator was originally appointed. When a vacancy is filled, the newly established tribunal shall exercise its discretion to determine whether any hearings shall be repeated.
Translation - Portuguese CLÁUSULA DE ARBITRAGEM
1. Qualquer disputa, litígio, controvérsia ou demanda decorrente de ou relacionada ao presente Contrato será submetida e resolvida por meio de arbitragem em Toronto, na província de Ontário, Canadá.
2. A parte que der início ao procedimento arbitral (doravante denominada “requerente”) notificará a outra parte (doravante denominada “requerida”) acerca da arbitragem e referida notificação especificará:
(i) o pedido para que o assunto seja submetido à arbitragem;
(ii) os nomes e endereços das partes;
(iii) a referência à presente cláusula arbitral; e
(iv) a descrição da natureza e das circunstâncias da disputa que originou o(s) pedido(s) e uma declaração da reparação pretendida, incluindo, se possível, a indicação do(s) valor(es) requeridos.
3. O tribunal arbitral (“tribunal”) será composto por três árbitros nomeados na forma que segue:
(i) cada uma das partes nomeará um árbitro e os dois árbitros nomeados pelas partes nomearão o terceiro árbitro, que atuará como presidente do tribunal;
(ii) se qualquer das partes deixar de nomear um árbitro dentro do prazo de até 30 (trinta) dias contados da data do recebimento da notificação acerca da nomeação de um árbitro pela outra parte, mediante solicitação de tal parte referido árbitro será nomeado pela Câmara de Comércio Internacional;
(iii) se os dois árbitros a serem nomeados pelas partes não chegarem a um acordo sobre a nomeação do terceiro árbitro em até 30 dias contados da data da nomeação do segundo árbitro, o terceiro árbitro será nomeado pela Câmara de Comércio Internacional mediante solicitação, por escrito, de qualquer das partes;
(iv) em caso de morte, renúncia, recusa ou incapacidade de um dos árbitros, a vaga deixada por referido árbitro será preenchida pelo mesmo método utilizado para nomear o árbitro original. Quando a vaga for preenchida, o tribunal então constituído poderá, ao seu exclusivo critério, determinar se alguma audiência deverá ser realizada novamente.
