Das neue Flagship Augsburg Bahnhofstraße wurde nach einer Umbauphase wiedereröffnet. Rundum modernisiert und technisch komplett neu ausgestattet ist es eines der ersten Flagships, das im Zuge der Modernisierung der Privatkunden Bank gestaltet wurde.
Ein neu gestalteter Servicebereich, die vergrößerte Selbstbedienungszone und moderne Cubes für ungestörte Beratungsgespräche zeichnen das Flagship aus. News 20.06.2014: Modernization of private customer bank
The new Flagship Augsburg Bahnhofstraße was reopened after a reconstruction phase. It is one of the first Flagships to be modernized and technically completely newly equipped, which was designed in course of the modernization of private customer Bank.
A newly designed service area, the enhanced self-service zone and modern Cubes for undisturbed consulting discussions distinguish the Flagship. The HVB is still planning to design 63 more branches this year in new Look with support of our units from Service Lines Real Estate, Procurement as well as ICT.

Group Strategy: China – An important market for our business and customers
The UniCredit is represented in China by three Branches (Hongkong, Shanghai and Guangzhou) as well as representation in Peking.
Our group can operate with a wide product- and service spectrum successfully in the Chinese market, thanks to a full bank license, for example with the granting of credits in the local currency, as also in foreign currencies. At present very less banks in Europe have access to Chinese market over a full bank license. Source text - German 1. Gesetzliche und vertragliche Bestimmungen zum Datenschutz. Soweit der Auftragnehmer im Rahmen oder bei Gelegenheit der Leistungserbringung nach diesem Beratervertrag Zugriff auf personenbezogene Daten des Auftraggebers oder von Dritten (nachfolgend zusammenfassend „KD-Daten“ genannt) erhält, hat der Auftragnehmer diese KD-Daten nur in Übereinstimmung mit den datenschutzrechtlichen Bestimmungen zu erheben, zu verarbeiten oder zu nutzen. Der Auftragnehmer hat insbesondere KD-Daten ausschließlich für Zwecke der Leistungserbringung nach diesem Beratervertrag zu erheben, zu verarbeiten und zu nutzen („Zweckbindung“) sowie etwaige auf eigenen Systemen des Auftragnehmers gespeicherte KD-Daten nach Maßgabe des § 35 Absatz 2 Satz 2 Nr. 3 Bundesdatenschutzgesetz (nachfolgend „BDSG“ genannt) mit Zweckfortfall zu löschen. Die Bedeutung der in den Ziffern 3 bis 5 dieses § 12 verwendeten Begriffe entspricht im Zweifel den Bestimmungen des BDSG, des Telekommunikationsgesetzes und des Telemediengesetzes.
2. Technische und organisatorische Maßnahmen zur Daten- und Informationssicherheit. Der Auftragnehmer hat die zur Wahrung der Anforderungen des Datenschutzes und der Informationssicherheit erforderlichen technischen und organisatorischen Maßnahmen (nachfolgend einheitlich „technische und organisatorische Maßnahmen zur Daten- und Informationssicherheit“ genannt) umzusetzen. Der Auftragnehmer stellt zur Erfüllung seiner Verpflichtung nach Satz 1 dieser Ziffer 4 sicher, dass er als natürliche Person und jeder von ihm zur Leistungserbringung nach diesem Beratervertrag eingesetzte Berater mindestens die technischen und organisatorischen Maßnahmen zur Daten- und Informationssicherheit nach Maßgabe der Anlage D-IS umsetzt, es sei denn, die Umsetzung der in Anlage D-IS festgelegten technischen und organisatorischen Maßnahmen zur Daten- und Informationssicherheit liegt auf Grund der konkreten Ausgestaltung der Leistungsbringung nach diesem Beratervertrag, insbesondere unter Berücksichtigung der technischen und infrastrukturellen Ausstattung der dem Auftragnehmer gegebenenfalls vom Auftraggeber bereitgestellten Arbeitsmittel und Arbeitsräumlichkeiten nicht im Einflussbereich des Auftragnehmers.
3. Vorlage Anlage DIS und Datenschutzhinweis. Der Auftragnehmer stellt sicher, dass er als natürliche Person und jeder von ihm zur Leistungserbringung nach diesem Beratervertrag eingesetzte Berater dem Auftraggeber spätestens am ersten Tag seiner Tätigkeit für den Auftraggeber ein vom jeweiligen Berater unterzeichnetes Exemplar der Anlage D-IS und der Anlage Datenschutzhinweis übergibt.
4. Vertragsstrafe. Für den Fall der Verletzung einer Verpflichtung oder Garantie einer in diesem § 12 festgelegten oder in Bezug genommenen Bestimmung durch den Auftragnehmer hat der Auftragnehmer an den Auftraggeber eine Vertragsstrafe in Höhe von EUR 25.000,00 pro Verstoß zu bezahlen. Die Gesamtsumme der Vertragsstrafen pro Kalenderjahr ist auf EUR 250.000,00 begrenzt. Die Vertragsstrafe wird auf eventuell vereinbarte Haftungshöchstgrenzen nicht angerechnet. Die Geltendmachung von Vertragsstrafen lässt Ansprüche auf Schadenersatz (unabhängig von ihrer rechtlichen Grundlage) unberührt.
5. Freistellung. Sofern Dritte in Fällen der Verletzung einer Verpflichtung oder Garantie aus einer in diesem § 12 festgelegten oder in Bezug genommenen Bestimmung Ansprüche gegen den Auftraggeber geltend machen, stellt der Auftragnehmer den Auftraggeber von diesen Ansprüchen sowie den hiermit verbundenen angemessenen Kosten der Rechtsverteidigung auf erstes Anfordern frei. Der Auftraggeber ist verpflichtet, den Auftragnehmer über die Geltendmachung von Ansprüchen unverzüglich zu informieren und ihm im gesetzlich zulässigen Umfang Gelegenheit zur Abwehr des geltend gemachten Anspruchs einzuräumen. Der Auftraggeber wird den Auftragnehmer in angemessener Weise (insbesondere durch die Bereitstellung von Informationen und Unterlagen) bei der Abwehr des geltend gemachten Anspruchs unterstützen.
§ 1 Vertragserfüllung durch Dritte
Der Einsatz von Dritten als Unterauftragnehmer bedarf der schriftlichen Zustimmung des Auftraggebers. Die Zustimmung wird der Auftraggeber nicht unbillig verweigern.
§ 2 Abtretung von Forderungen
Der Auftragnehmer ist ohne vorherige Zustimmung des Auftraggebers nicht berechtigt, seine Forderungen gegen den Auftraggeber an Dritte abzutreten.
§ 3 Zurückbehaltung, Aufrechnung
1. Dem Auftragnehmer stehen keine Zurückbehaltungsrechte zu, soweit sie aus Gegenansprüchen aus anderen Rechtsgeschäften mit dem Auftraggeber herrühren.
2. Der Auftraggeber ist berechtigt, gegen Forderungen, die dem Auftragnehmer gegen den Auftraggeber zustehen, mit Forderungen aufzurechnen, die anderen, mit dem Auftraggeber im Sinne der §§ 15 ff. AktG verbundenen Unternehmen gegen den Auftragnehmer zustehen. Der Auftraggeber ist weiter berechtigt, gegen Forderungen, die dem Auftragnehmer gegen verbundene Unternehmen des Auftraggebers zustehen, mit Forderungen des Auftraggebers aufzurechnen.
3. Der Auftragnehmer kann nur mit solchen Forderungen aufrechnen, die unbestritten oder rechtskräftig festgestellt worden sind.
§ 4 Aufbewahrung und Rückgabe von Unterlagen und Gegenständen
1. An den dem Auftragnehmer überlassenen Abbildungen, Zeichnungen, Berechnungen, Modellen, Mustern und sonstigen Unterlagen (zusammenfassend „Unterlagen“) behält sich der Auftraggeber etwaige Eigentums- und Urheberrechte vor.
2. Unterlagen dürfen nur zur Erbringung der vereinbarten Leistung verwendet werden; sie dürfen Dritten ohne Zustimmung des Auftraggebers nicht zugänglich gemacht werden.
3. Sollte der Auftraggeber dem Auftragnehmer technische Geräte, Zugangsberechtigungen und/oder andere Gegenstände (zusammenfassend „Gegenstände“) zur Verfügung stellen, so wird der Auftragnehmer diese Gegenstände pfleglich behandeln, nur zur Erbringung seiner vertraglichen Leistungen verwenden und vor dem unbefugten Zugriff Dritter schützen.
4. Nach Vertragsbeendigung oder jederzeit auf Anforderung des Auftraggebers wird der Auftragnehmer die betroffenen Gegenstände und/oder Unterlagen einschließlich eventuell angefertigter Kopien unverzüglich zurückgeben oder, nach Wahl des Auftraggebers, unverzüglich vernichten.
5. Der Auftragnehmer ist nicht berechtigt, an Unterlagen und Gegenständen ein Zurückbehaltungsrecht auszuüben.
§ 5 Aufträge
Ansprüche auf die Erteilung von Folgeaufträgen erwachsen dem Auftragnehmer aus diesem Beratervertrag nicht.
§ 6 Referenzen, Werbung
Der Auftragnehmer ist ohne vorherige schriftliche Zustimmung des Auftraggebers nicht berechtigt, Informationen über eine beabsichtigte oder bestehende vertragliche Zusammenarbeit zu Referenz- oder Marketingzwecken zu verwenden. Auch das Fotografieren auf Grundstücken bzw. Baustellen und in Räumen des Auftraggebers sowie diesbezügliche Veröffentlichungen jeglicher Art sind ohne vorherige schriftliche Zustimmung des Auftraggebers untersagt.
§ 7 Sonstiges
1. Änderungen und Ergänzungen dieses Beratervertrages bedürfen der Schriftform. Dies gilt auch für Änderungen des Schriftformerfordernisses.
2. Sofern in diesem Beratervertrag Schriftform vorgeschrieben wird, wird das Schriftformerfordernis durch E-Mail nicht gewahrt. E-Mail ist nur dort ausreichend, wo dieser Beratervertrag ausdrücklich von Textform spricht.
3. Unterlässt es der Auftraggeber einmal oder mehrfach, auf der Erfüllung einer vertraglichen Pflicht zu bestehen, stellt dies keinen Verzicht und keine Aufgabe zukünftiger Rechte dar. Die vertraglichen Verpflichtungen des Auftragnehmers bleiben in einem solchen Fall für die Zukunft weiterhin bestehen und voll wirksam.
4. Es gilt deutsches Recht unter Ausschluss des deutschen Internationalen Privatrechts und des UN-Kaufrechts.
5. Ausschließlicher Gerichtsstand ist München. Der Auftraggeber ist auch berechtigt, am Sitz des Auftragnehmers zu klagen.
6. Sollte eine Bestimmung dieses Beratervertrages unwirksam sein oder werden, so bleibt die Wirksamkeit der übrigen Bestimmungen hiervon unberührt. Die Parteien sind in einem solchen Falle verpflichtet, an der Schaffung von Bestimmungen mitzuwirken, durch die ein der unwirksamen Bestimmung wirtschaftlich möglichst nahe kommendes Ergebnis rechtswirksam erzielt wird. Das Vorstehende gilt für die Schließung etwaiger Vertragslücken entsprechend.
7. Der Auftraggeber ist berechtigt, einzelne oder sämtliche Rechte und/oder Pflichten aus diesem Beratervertrag sowie das Vertragswerk als Ganzes ohne Zustimmung des Auftragnehmers an Dritte zu übertragen. Dies gilt insbesondere für Übertragungen auf ein verbundenes Unternehmen i. S. d. §§ 15 ff. AktG.
B. Besondere Regelungen für Dienstleistungen
Die Regelungen unter diesem Abschnitt B. gelten für die Erbringung von Beratungsleistungen des Auftragnehmers für den Auftraggeber, soweit die zu erbringenden Leistungen als Dienstleistungen im Sinne von § 611 BGB zu qualifizieren sind.
§ 8 Leistungsverzögerung
Sämtliche vereinbarten Termine sind verbindlich. Werden die vereinbarten Termine aufgrund eines in der Risikosphäre des Auftragnehmers liegenden Umstandes nicht eingehalten, ist der Auftragnehmer verpflichtet, eine Vertragsstrafe in Höhe von 50 € je angefangener Tag der Terminüberschreitung, maximal 5% der für diesen Beratervertrag vereinbarten Maximalvergütung im Sinne von § 21 Ziffer 4 zu entrichten. Die Geltendmachung weitergehender Rechte durch den Auftraggeber bleibt unberührt, wobei die Vertragsstrafe auf Schadensersatzansprüche anzurechnen ist, soweit Interessenidentität besteht. Die Vertragsstrafe kann bei vorbehaltloser Entgegennahme der Leistung bis zur Schlusszahlung geltend gemacht werden.
§ 9 Anforderungen an die Berater
1. Die beim Auftraggeber zur Vertragserfüllung eingesetzten Berater sind geeignet und qualifiziert und werden sich stetig weiterbilden und über die einschlägigen Veränderungen in ihrem Fachbereich informieren.
2. Die vertraglichen Leistungen sind in der Regel von Roshin Pariamadathil und Paul VV persönlich über die gesamte Laufzeit zu erbringen. Sollte ein Berater aus wichtigem Grund, z.B. Krankheit des Beraters, verhindert sein, hat der Auftragnehmer unverzüglich gleichwertigen Ersatz zu stellen. Der Einsatz anderer Berater bedarf der schriftlichen Zustimmung des Auftraggebers. Der Auftragnehmer hat auf eigene Kosten den Ersatz in das betreffende Projekt einzuweisen.
3. Entsprechen die Berater nicht der jeweils vereinbarten, oder hilfsweise der sich nach den Umständen (insbesondere aufgrund der Leistungsbeschreibung) zu erwartenden Qualifikation, kann der Auftraggeber den Austausch von Beratern verlangen. Der Auftragnehmer hat dann innerhalb einer angemessenen Frist einen zur Erbringung der vertraglich durch den Auftragnehmer geschuldeten Leistungen qualifizierten Ersatz zur Verfügung zu stellen. Der Auftragnehmer hat auf eigene Kosten den Ersatz in das Projekt einzuweisen. Stellt der Auftragnehmer in angemessener Frist unter Berücksichtigung des festgelegten Zeitplans keinen qualifizierten Ersatz zur Verfügung, ist der Auftraggeber zur fristlosen Kündigung berechtigt. Das Recht auf Schadensersatz bleibt daneben unberührt. Diese Ziffer 4 gilt entsprechend, wenn der Auftraggeber den Austausch von Beratern aus anderen nachvollziehbaren Gründen verlangt.
4. Die vom Auftragnehmer eingesetzten Berater unterliegen alleine der Weisung des Auftragnehmers und sind dessen Erfüllungsgehilfen.
5. Der Auftragnehmer ist für einen ausreichenden Versicherungsschutz für die Alters-, Pflege- und Krankheitsvorsorge für sich oder seine Mitarbeiter verantwortlich. Er wird die eingenommene Umsatzsteuer ordnungsgemäß an das Finanzamt abführen und die erhaltene Vergütung eigenständig und ordnungsgemäß versteuern.
§ 10 Ergänzung zu Rechnungslegung und Zahlung
Ergänzend zu § 7 gilt folgendes:
Die Rechnungsstellung erfolgt zum Beginn eines Monats für den jeweils vorangegangenen Monat.
§ 11 Gewährleistung
Enthalten die vom Auftragnehmer zu erbringenden Leistungen Elemente von Miet- oder Kaufverträgen, gelten insoweit die jeweils gesetzlichen Regelungen. Für Werkleistungen gilt Abschnitt C. dieses Vertrages.
C. Besondere Regelungen für Werkleistungen
Die Regelungen unter diesem Abschnitt C. gelten für die Erbringung von Werkleistungen durch den Auftragnehmer für den Auftraggeber.
§ 12 Leistungsverzögerung
Werden die vereinbarten Termine aufgrund eines schuldhaften Verhaltens des Auftragnehmers nicht eingehalten, ist der Auftragnehmer verpflichtet, eine Vertragsstrafe in Höhe von 0,3 % je angefangener Tag der Terminüberschreitung, maximal 5 % der vereinbarten Bruttovergütung zu entrichten. Die Geltendmachung weitergehender Rechte durch den Auftraggeber bleibt unberührt, wobei die Vertragsstrafe auf Schadensersatzansprüche anzurechnen ist, soweit Interessenidentität besteht. Die Vertragsstrafe kann bei vorbehaltloser Abnahme bis zur Schlusszahlung geltend gemacht werden.
§ 13 Abnahme
1. Der Auftragnehmer hat dem Auftraggeber die Abnahmebereitschaft mit einem Vorlauf von mindestens 4 Wochen in Textform mitzuteilen.
2. Es gilt der Grundsatz der Gesamtabnahme der vom Auftragnehmer erbrachten Leistungen, auch bei ausdrücklich vereinbarten Teilabnahmen. Die Gewährleistungsfrist für die vertragsgemäß zu erbringenden Leistungen beginnt einheitlich mit Gesamtabnahme. Bei der Abnahme ist auch das Zusammenspiel mit ggf. schon abgenommenen Leistungen zu prüfen. Werden dabei Fehler festgestellt, gilt der Mangel als im abzunehmenden Leistungsteil liegend.
3. Die Abnahmeprüfungen sind vom Auftraggeber innerhalb einer angemessenen Frist vorzunehmen. Der Auftragnehmer wird den Auftraggeber hierbei in zumutbarem Umfang unterstützen.
4. Bei der Abnahme festgestellte Mängel werden vom Auftragnehmer unverzüglich oder innerhalb einer vom Auftraggeber gesetzten angemessenen Frist beseitigt. Nach unverzüglicher Mängelbeseitigung oder Mängelbeseitigung innerhalb der vom Auftraggeber gesetzten Frist hat der Auftragnehmer die Leistung erneut zur Abnahme zu stellen.
5. Über die Abnahme erstellen die Parteien ein schriftliches Abnahmeprotokoll.
6. Der Auftraggeber wird bei unwesentlichen Mängeln eine Abnahme unter Vorbehalt vornehmen. Solche Mängel werden im Abnahmeprotokoll festgehalten und vom Auftragnehmer unverzüglich beseitigt.
§ 14 Ordentliche Kündigung Werk
1. Der Auftraggeber kann Werkleistungen jederzeit ohne Einhaltung einer Frist schriftlich kündigen.
2. Ist die Kündigung des Auftraggebers durch ein vertragswidriges Verhalten des Auftragnehmers veranlasst, werden die erbrachten Leistungen insoweit nicht vergütet, als der Auftraggeber hieran in Folge der Kündigung kein Interesse hat. Bereits geleistete Zahlungen des Auftraggebers sind in diesem Fall zurückzugewähren. Weitergehende gesetzliche Ansprüche des Auftraggebers bleiben hiervon unberührt.
§ 15 Gewährleistung
1. Der Auftragnehmer gewährleistet die Freiheit von Sach- und Rechtsmängeln nach den gesetzlichen Bestimmungen und nach Maßgabe der nachfolgenden Absätze.
2. In Ermangelung einer Vereinbarung sind die Lieferungen und Leistungen frei von Sachmängeln, wenn sie sich für die vertraglich vorausgesetzte, sonst für die gewöhnliche Verwendung eignen und eine Beschaffenheit aufweisen, die bei Werken der gleichen Art üblich ist und die der Auftraggeber nach der Art des Werkes erwarten kann.
3. Mängel hat der Auftragnehmer auf seine Kosten und nach Wahl des Auftraggebers zu beseitigen oder eine mangelfreie Sache zu liefern bzw. mangelfrei zu leisten. Der Auftragnehmer ist verpflichtet, alle im Rahmen der Gewährleistung entstehenden Aufwendungen zu tragen.
4. Ansprüche wegen Mängeln verjähren in drei Jahren nach Abnahme. Für Bauleistungen gilt die gesetzliche Gewährleistungsfrist. Die Verjährung wird durch die Anzeige des Mangels gegenüber dem Auftragnehmer und für die Dauer der Nacherfüllung gehemmt.
5. Führt der Auftragnehmer eine Nacherfüllung nicht innerhalb der vom Auftraggeber gesetzten angemessenen Frist aus oder ist die Nacherfüllung fehlgeschlagen oder unzumutbar, ist der Auftraggeber berechtigt, auf Kosten des Auftragnehmers Nachbesserung oder Ersatzlieferung selbst vorzunehmen oder vornehmen zu lassen.
Translation - English 1. Legal and contractual regulations for data privacy. Insofar as the contractor gets access to personal data of the client or of third party (subsequently in summary called as “KD-Data“) in context of or in case of opportunity of service provision in accordance with this consultancy contract, the contractor has to collect, process and use this KD-data only in reconciliation with the regulations of data privacy. The contractor must collect, process and use (“appropriation“) the KD-Data exclusively for the purposes of service provision according to this consultancy contract and also delete any KD-data stored on own system of the contractor according to the requirement of § 35 Paragraph 2 Clause 2 No. 3 German Data Protection Act (subsequently called as “BDSG“) with intended discontinuance. In case of doubt, the meaning of the terms used in the numbers 3 to 5 of this § 12 shall correspond to the regulations of BDSG (German Data Protection Act), of the Telecommunication act of the Telemedia act.
2. Technical and organizational measures for data privacy and information security. The contractor must implement the necessary technical and organizational measures (subsequently called as “technical and organizational measures for data- and information security“) for preservation of requirements of data privacy and information security. The contractor shall ensure for fulfillment of his obligation according to Clause 1 of this number 4, that he as natural person and each of the consultants appointed by him according to this consultancy contract for provision of service shall at least implement the technical and organizational measures for Data- and Information security according to the requirements of Annexure D-IS, unless, the implementation of the technical and organizational measures for Data- and Information security determined in Annexure D-IS do not come under the jurisdiction of the contractor, on the basis of concrete arrangement of the service provision according to this consultancy contract, especially considering the technical and infrastructural arrangement of work equipment and work premises provided by the client.
3. Sample Annexure DIS and Data privacy note. The contractor shall ensure that he as natural person and each of the consultants appointed by him according to this consultancy contract for provision of service shall transfer to the client latest on first day of his activity a copy of the Annexure D-IS and Annexure Data privacy note signed by respective consultant.
4. Contractual penalty. For the case of violation of an obligation or guarantee of a provision that has been considered or determined in this § 12 by the contractor a contractual penalty to the amount of 25,000.00 Euro per violation must be paid by the contractor to the client. The total amount of the contractual penalty per calendar year is restricted to 250,000.00 Euro. The contractual penalty is not charged on possibly agreed on maximum limit of liability. The enforcement of contractual penalty shall not affect claims on compensation (independent of its legal basis).
5. Indemnity. As far as third parties claim against the client in cases of violation of an obligation or guarantee from a regulation determined or referred in this § 12, the contractor shall keep the client indemnified on first request from these claims as well as from the suitable legal costs associated with it. The client shall be obligated to inform the contractor immediately about the assertion of the claims and must grant him an opportunity in legally permissible scope for defense of alleged claims. The client shall support the contractor in suitable manner (especially by way of providing the information and documents) in case of defense of the alleged claim.
§ 1 Fulfillment of Contract by Third Party
Use of third party as subcontractor shall require the written approval of the client. The approval shall not be denied by the client unreasonably.
§ 2 Assignment of Claims
The contractor shall not be authorized without prior approval of the client to assign his claims against the client to the third party.
§ 3 Retention, Compensation
1. The contractor does not have any right of retention as far as it is caused by the counter claims from other legal acts with the client.
2. The client is authorized to settle claims which the contractor is entitled against the client, the other that the client is entitled within the meaning of §§ 15 ff. Company Act of affiliated companies against the contractor. The client is further authorized to settle claims, to which the contractor is entitled against affiliated companies of the client, with claims of the client.
3. The contractor can settle only those claims, which are undisputed or legally binding.
§ 4 Safekeeping and Return of Documents and Assets
1. The client reserves any property- and copyright to the drawings, illustrations, calculations, models, samples and other documents (in summary “documents“) handed over to the contractor.
2. The documents must be used only for provision of agreed service; they should not be made available to the third party without approval of the client.
3. If the client shall provide technical equipments, access authorizations and/or other assets (in summary “assets”) to the contractor, then the contractor shall handle these assets with care, use only for provision of his contractual services and protect from unauthorized access of third party.
4. The contractor shall immediately return the concerned assets and/or documents including possible copies on request of the client or as per choice of client immediately destroy them after completion of the contract or at a moment’s notice.
5. The contractor shall not be authorized to exercise right of retention on documents and items.
§ 5 Orders
Claims on assignment of successive orders shall not accrue to the contractor from this consultancy contract.
§ 6 References, Advertisement
The contractor shall not be authorized without prior written consent of the client to use information regarding intended or existing contractual co-operation for reference or marketing purposes. Photography of property or construction site and in premises of the client and relevant publications of any kind are banned without prior written approval of the client.
§ 7 Other
1. Changes and additions of this consultancy contract shall require the written form. This shall also be valid to changes of written form requirements.
2. As far as written form has been prescribed in this consultancy contract, the requirement for written form, the requirement for written form shall not be accepted by E-Mail. E-Mail is only sufficient where this consultancy contract exclusively speaks of text form.
3. If the client fails to fulfill a contractual obligation, this does not represent any waiving and no assignment of future rights. The contractual obligations of the contractor in such a case exist in future and are fully effective.
4. The German Law under exclusion of German International Private Law and UN- United Nations Convention on Contracts for the International Sale of Goods.
5. The exclusive legal domicile is Munich. The client is also authorized to make a complaint at the head office of contractor.
6. If a regulation of this consultancy contract is ineffective or becomes ineffective, then the effectiveness of the other regulations remains unaffected by this. The parties shall be obligated in such a case to co-operate in case of creation of regulations, by way of which the nearest possible legally effective result can be achieved, that comes economically close to the ineffective regulation. The previous shall be accordingly valid for the completion of any contractual gaps.
7. The client shall be authorized to transfer individual or all rights and/or duties from this consultancy contract as well as the agreement as a whole to the third party without approval of the contractor. This is especially valid for transfers to an affiliated company i. S. d. §§ 15 ff. Company Act.
Special Regulations for the Services
The regulations under this section B are valid for the provision of consultancy services of the contractor for the client, as far as the services to be provided are qualified as services within the meaning of § 611 German Civil Code (BGB).
§ 8 Delay in Service
All agreed dates shall be binding. If the agreed dates are not observed due to a circumstance that does not lie in the risk sphere of the contractor, the contractor shall be obligated to pay a contractual penalty to the amount of 50 € per commenced day of missed deadline, maximum 5% of maximum compensation agreed for this consultancy contract within the meaning of § 21 Number 4. The enforcement of further rights by the client shall remain unaffected, whereby the contractual penalty is calculated on claims for damages, as far as there are identical interests. The contractual penalty can be claimed in case of unconditional acceptance of service up to final payment.
§ 9 Requirements of the Consultant
1. The consultants employed with the client for the fulfillment of contract must be suitable and qualified and will continue to educate themselves and keeps themselves informed about the appropriate changes in respective technical department.
2. The contractual services as a rule must be provided by Roshin Pariamadathil and Paul VV personally over the total time span. If a consultant is prevented for an important reason, e.g. illness of consultant, the contractor must immediately arrange a similar replacement. The employment of other consultant shall require the written approval of the client. The contractor must introduce the replacement at his own cost in the concerned project.
3. If the consultant does not correspond to the respectively agreed, or alternatively expected qualification as per the circumstances (especially based on the service description), the client can demand the exchange of consultant. The contractor then must provide a qualified replacement for the provision of due services as per contract within a suitable period. The contractor must introduce the replacement at his own cost in the project. If the contractor does not provide a qualified replacement in suitable period considering the determined schedule, the client is authorized for the termination without notice. The right for compensation for damages shall remain unaffected. Thus number 4 shall be accordingly valid if the client demands an exchange of consultants for other comprehensible reasons.
4. The consultant employed by the contractor is subject to instruction of contractor and are thier assistants.
5. The contractor shall be responsible for a sufficient insurance cover for the age-, care- and illness provisions for himself or his employees. He shall pay the received sales tax properly to the Fiscal authorities and pay tax on received compensation in proper form.
§ 10 Supplement to the Accounting and Payment
Supplementary to § 7 the following is applicable:
The invoicing shall take place at the start of the month for the respective earlier month.
§ 11 Guarantee
If the services to be provided by the contractor have elements of rent or sell agreement, in this respect the respective legal regulations shall be valid. For work performance the section C of this contract shall be valid.
C. Special Regulations for Work Performances
Regulations under this section C shall be valid for the provision of work performance by the contractor for the client.
§ 12 Delay in Service
If the agreed dates are not observed due to a negligent behavior of the contractor, the contractor shall be obligated to pay a contractual penalty to the amount of 0.3 % per missed day of the exceeding of the schedule, maximum 5 % of the agreed gross compensation. The enforcement of the further rights by the client remains unaffected, whereby the contractual penalty is charged on claims for damages, as far as there are identical interests. The contractual penalty can be claimed in case of unconditional acceptance of service up to final payment.
§ 13 Acceptance
1. The contractor must inform the client about the readiness for acceptance with an advance of minimum 4 Weeks in Text form.
2. The principle of total acceptance of the services provided by the contractor, even in case of exclusively agreed partial acceptances. The guarantee period for the services to be provided as per contract shall begin uniformly with total acceptance. In case of acceptance even the cooperation with if required already accepted services must be checked. If thereby an error is determined, the bug is seen as existing in the service that is to be accepted.
3. The acceptance checks must be intended by the client within a suitable period. The contractor shall support the client in this case in reasonable scope.
4. In case of acceptance of determined bugs, they shall be fixed by the contractor immediately or within a suitable period determined by the client. After immediate bug fixing or bug fixing within a suitable period determined by the client, the contractor must provide the service again.
5. The parties will create a written acceptance protocol about the acceptance.
6. The client shall intend an acceptance in case of circumstantial bugs under conditions. Such bugs will be recorded in the acceptance protocol and fixed immediately by the contractor.
§ 14 Proper Cancellation of Work
1. The client can cancel the work performances any time without observation of a period.
2. If the cancellation of the client is caused due to a behavior contradictory to the contract, the provided services cannot be compensated in this respect, as the client does not have any interest in cancellation. The payment of the client that is already provided must be reimbursed. Further legal claims of the client remain unaffected.
§ 15 Guarantee
1. The contractor shall guarantee the defect free material and title according to the legal regulations and according to the requirement of following paragraphs.
2. In the absence of an agreement the deliveries and services must be free of material defects, if they are suitable for the contractually preconditioned, otherwise customary utilization and show a quality that is usual in case of works of similar type and which the client can expect as per the type of work.
3. The contractor must resolve the defect at his own cost and as per choice of the client or must deliver a defect free job or service. The contractor shall be obligated to bear all expenditure arising in context of the guarantee.
4. Claims due to defects will be barred in three years after acceptance. For construction services the legal guarantee period is applicable. The statute of limitation will be blocked against the contractor by the display of defects and for the period of supplementary performance.
5. If the contractor does not provide supplementary performance within the suitable period given by the client or if the non-fulfillment fails or is unacceptable, the client shall be authorized to take up additional improvements or replacement delivery at the cost of contractor.
